PROFESSIONAL CONSULTING SERVICES
This Agreement, made and entered into this 1- day of /4Ya' 2012 ("Effective
Date"), by and between CITY OF UKIAH, CALIFORNIA, hereinafter referred to as "City" and
GREEN VALLEY CONSULTING ENGINEERS, a corporation, organized and in good standing
under the laws of the state of California, hereinafter referred to as "Consultant".
RECITALS
This Agreement is predicated on the following facts:
City requires consulting services to provide Construction Management and Inspection
Services for Perkins and Orchard Intersection Improvements Specification No. 11-01
EDA Award No. 07 01 06042.
Consultant represents that it has the qualifications, skills, experience and properly
licensed to provide these services, and is willing to provide them according to the terms
of this Agreement.
C. City and Consultant agree upon the Scope-of-Work and Work Schedule attached hereto
as Attachment "A", describing contract provisions for the project and setting forth the
completion dates for the various services to be provided pursuant to this Agreement.
TERMS OF AGREEMENT
1.0 DESCRIPTION OF PROJECT
1.1 The Project is described in detail in the attached Scope-of-Work (Attachment "A").
2.0 SCOPE OF SERVICES
2.1 As set forth in Attachment "A".
2.2. Additional Services. Additional services, if any, shall only proceed upon written
agreement between City and Consultant. The written Agreement shall be in the form of
an Amendment to this Agreement.
3.0 CONDUCT OF WORK
3.1 Time of Completion. Consultant shall commence performance of services as required
by the Scope-of-Work upon receipt of a Notice to Proceed from City. Consultant shall
complete the work to the City's reasonable satisfaction; even if contract disputes arise or
Consultant contends it is entitled to further compensation.
4.0 COMPENSATION FOR SERVICES
4.1 Basis for Compensation. For the performance of the professional services of this
Agreement, Consultant shall be compensated on a time and expense basis not to
exceed a maximum dollar amount of $48,498. Labor charges shall be based upon
hourly billing rates for the various classifications of personnel employed by Consultant to
perform the Scope of Work as set forth in the attached Attachment B, which shall include

all indirect costs and expenses of every kind or nature, except direct expenses. The
direct expenses and the fees to be charged for same shall be as set forth in Attachment
B. Consultant shall complete the Scope of Work for the not-to-exceed guaranteed
maximum, even if actual time and expenses exceed that amount.
4.2 Changes. Should changes in compensation be required because of changes to the
Scope-of-Work of this Agreement, the parties shall agree in writing to any changes in
compensation. "Changes to the Scope-of-Work" means different activities than those
described in Attachment "A" and not additional time to complete those activities than the
parties anticipated on the date they entered this Agreement.
4.3 Sub-contractor Pavment. The use of sub-consultants or other services to perform a
portion of the work of this Agreement shall be approved by City prior to commencement
of work. The cost of sub-consultants shall be included within guaranteed not-to-exceed
amount set forth in Section 4.1.
4.4 Terms of Payment. Payment to Consultant for services rendered in accordance with this
contract shall be based upon submission of monthly invoices for the work satisfactorily
performed prior to the date of the invoice less any amount already paid to Consultant,
which amounts shall be due and payable thirty (30) days after receipt by City. The
invoices shall provide a description of each item of work performed, the time expended
to perform each task, the fees charged for that task, and the direct expenses incurred
and billed for. Invoices shall be accompanied by documentation sufficient to enable City
to determine progress made and to support the expenses claimed.
5.0 ASSURANCES OF CONSULTANT
5.1 Independent Contractor. Consultant is an independent contractor and is solely
responsible for its acts or omissions. Consultant (including its agents, servants, and
employees) is not the City's agent, employee, or representative for any purpose.
It is the express intention of the parties hereto that Consultant is an independent
contractor and not an employee, joint venturer, or partner of City for any purpose
whatsoever. City shall have no right to, and shall not control the manner or prescribe the
method of accomplishing those services contracted to and performed by Consultant
under this Agreement, and the general public and all governmental agencies regulating
such activity shall be so informed.
Those provisions of this Agreement that reserve ultimate authority in City have been
inserted solely to achieve compliance with federal and state laws, rules, regulations, and
interpretations thereof. No such provisions and no other provisions of this Agreement
shall be interpreted or construed as creating or establishing the relationship of employer
and employee between Consultant and City.
Consultant shall pay all estimated and actual federal and state income and self-
employment taxes that are due the state and federal government and shall furnish and
pay worker's compensation insurance, unemployment insurance and any other benefits
required by law for himself and his employees, if any. Consultant agrees to indemnify
and hold City and its officers, agents and employees harmless from and against any
claims or demands by federal, state or local government agencies for any such taxes or
benefits due but not paid by Consultant, including the legal costs associated with
defending against any audit, claim, demand or law suit.

Consultant warrants and represents that it is a properly licensed professional or
professional organization with a substantial investment in its business and that it
maintains its own offices and staff which it will use in performing under this Agreement.
5.2 Conflict of Interest. Consultant understands that its professional responsibility is solely
to City. Consultant has no interest and will not acquire any direct or indirect interest that
would conflict with its performance of the Agreement. Consultant shall not in the
performance of this Agreement employ a person having such an interest. If the City
Manager determines that the Consultant has a disclosure obligation under the City's
local conflict of interest code, the Consultant shall file the required disclosure form with
the City Clerk within 10 days of being notified of the City Manager's determination.
6.0 INDEMNIFICATION
6.1 Insurance Liability. Without limiting Consultant's obligations arising under Paragraph 6.2
Consultant shall not begin work under this Agreement until it procures and maintains for
the full period of time allowed by law, surviving the termination of this Agreement
insurance against claims for injuries to persons or damages to property, which may arise
from or in connection with its performance under this Agreement.
A. Minimum Scope of Insurance
Coverage shall be at least as broad as:
Insurance Services Office ("ISO) Commercial General Liability Coverage
Form No. CG 20 10 10 01 and Commercial General Liability Coverage -
Completed Operations Form No. CG 20 37 10 01.
ISO Form No. CA 0001 (Ed. 1/87) covering Automobile Liability, Code 1
"any auto" or Code 8, 9 if no owned autos and endorsement CA 0025.
Worker's Compensation Insurance as required by the Labor Code of the
State of California and Employers Liability Insurance.
4. Errors and Omissions liability insurance appropriate to the consultant's
profession. Architects' and engineers' coverage is to be endorsed to
include contractual liability.
B. Minimum Limits of Insurance
Consultant shall maintain limits no less than:
General Liability: $1,000,000 combined single limit per occurrence for
bodily injury, personal injury and property damage including operations,
products and completed operations. If Commercial General Liability
Insurance or other form with a general aggregate limit is used, the
general aggregate limit shall apply separately to the work performed
under this Agreement, or the aggregate limit shall be twice the prescribed
per occurrence limit.
2. Automobile Liability: $1,000,000 combined single limit per accident for
bodily injury and property damage.

Worker's Compensation and Employers Liability: Worker's compensation
limits as required by the Labor Code of the State of California and
Employers Liability limits of $1,000,000 per accident.
4. Errors and Omissions liability: $1,000,000 per claim.
C. Deductibles and Self-Insured Retentions
Any deductibles or self-insured retentions must be declared to and approved by
the City. At the option of the City, either the insurer shall reduce or eliminate
such deductibles or self-insured retentions as respects to the City, its officers,
officials, employees and volunteers; or the Consultant shall procure a bond
guaranteeing payment of losses and related investigations, claim administration
and defense expenses.
D. Other Insurance Provisions
The policies are to contain, or be endorsed to contain, the following provisions:
General Liabilitv and Automobile Liability Coverages
a. The City, it officers, officials, employees and volunteers are to be
covered as additional insureds as respects; liability arising out of
activities performed by or on behalf of the Consultant, products
and completed operations of the Consultant, premises owned,
occupied or used by the Consultant, or automobiles owned, hired
or borrowed by the Consultant for the full period of time allowed by
law, surviving the termination of this Agreement. The coverage
shall contain no special limitations on the scope-of-protection
afforded to the City, its officers, officials, employees or volunteers.
b. The Consultant's insurance coverage shall be primary insurance
as respects to the City, its officers, officials, employees and
volunteers. Any insurance or self-insurance maintained by the
City, its officers, officials, employees or volunteers shall be in
excess of the Consultant's insurance and shall not contribute with
it.
Any failure to comply with reporting provisions of the policies shall
not affect coverage provided to the City, its officers, officials,
employees or volunteers.
d. The Consultant's insurance shall apply separately to each insured
against whom claim is made or suit is brought, except with respect
to the limits of the insurer's liability.
Worker's Compensation and Employers Liability Coverage
The insurer shall agree to waive all rights of subrogation against the City,
its officers, officials, employees and volunteers for losses arising from
Consultant's performance of the work, pursuant to this Agreement.

3. Professional Liability Coverage
If written on a claims-made basis, the retroactivity date shall be the
effective date of this Agreement. The policy period shall extend for the
duration of the work being performed.
4. All Coverages
Each Insurance policy required by this clause shall be endorsed to state
that coverage shall not be suspended, voided, canceled by either party,
reduced in coverage or in limits except after thirty (30) days prior written
notice by certified mail, return receipt requested, has been given to the
City.
E. Acceptability of Insurers
Insurance is to be placed with admitted California insurers with an A.M. Best's
rating of no less than A- for financial strength, AA for long-term credit rating and
AMB-1 for short-term credit rating.
F. Verification of Coverage
Consultant shall furnish the City with Certificates of Insurance and with original
Endorsements effecting coverage required by this Agreement. The Certificates
and Endorsements for each insurance policy are to be signed by a person
authorized by that insurer to bind coverage on its behalf. The Certificates and
Endorsements are to be on forms provided or approved by the City. Where by
statute, the City's Workers' Compensation - related forms cannot be used,
equivalent forms approved by the Insurance Commissioner are to be substituted.
All Certificates and Endorsements are to be received and approved by the City
before Consultant begins the work of this Agreement. The City reserves the right
to require complete, certified copies of all required insurance policies, at any
time. If Consultant fails to provide the coverages required herein, the City shall
have the right, but not the obligation, to purchase any or all of them. In that
event, the cost of insurance becomes part of the compensation due the
contractor after notice to Consultant that City has paid the premium.
G. Subcontractors
Consultant shall include all subcontractors or sub-consultants as insured under
its policies or shall furnish separate certificates and endorsements for each sub-
contractor or sub-consultant. All coverage for sub-contractors or sub-consultants
shall be subject to all insurance requirements set forth in this Paragraph 6.1.
6.2 Indemnification. Notwithstanding the foregoing insurance requirements, and in addition
thereto, Consultant agrees, for the full period of time allowed by law, surviving the
termination of this Agreement, to indemnify the City for any claim, cost or liability that
arises out of, or pertains to, or relates to any negligent act or omission or the willful
misconduct of Consultant in the performance of services under this contract by
Consultant, but this indemnity does not apply to liability for damages for death or bodily
injury to persons, injury to property, or other loss, arising from the sole negligence, willful
misconduct or defects in design by the City, or arising from the active negligence of the
City.

"Indemnify," as used herein includes the expenses of defending against a claim and the
payment of any settlement or judgment arising out of the claim. Defense costs include
all costs associated with defending the claim, including, but not limited to, the fees of
attorneys, investigators, consultants, experts and expert witnesses, and litigation
expenses.
References in this paragraph to City or Consultant, include their officers, employees,
agents, and subcontractors.
7.0 CONTRACT PROVISIONS
7.1 Ownership of Work. All documents furnished to Consultant by City and all documents or
reports and supportive data prepared by Consultant under this Agreement are owned
and become the property of the City upon their creation and shall be given to City
immediately upon demand and at the completion of Consultant's services at no
additional cost to City. Deliverables are identified in the Scope-of-Work, Attachment "A".
All documents produced by Consultant shall be furnished to City in digital format and
hardcopy. Consultant shall produce the digital format, using software and media
approved by City.
7.2 Governing Law. Consultant shall comply with the laws and regulations of the United
States, the State of California, and all local governments having jurisdiction over this
Agreement. The interpretation and enforcement of this Agreement shall be governed by
California law and any action arising under or in connection with this Agreement must be
filed in a Court of competent jurisdiction in Mendocino County.
7.3 Entire Agreement. This Agreement plus its Attachment(s) and executed Amendments
set forth the entire understanding between the parties.
7.4 Severability. If any term of this Agreement is held invalid by a court of competent
jurisdiction, the remainder of this Agreement shall remain in effect.
7.5 Modification. No modification of this Agreement is valid unless made with the agreement
of both parties in writing.
7.6 Assignment. Consultant's services are considered unique and personal. Consultant
shall not assign, transfer, or sub-contract its interest or obligation under all or any portion
of this Agreement without City's prior written consent.
7.7 Waiver. No waiver of a breach of any covenant, term, or condition of this Agreement
shall be a waiver of any other or subsequent breach of the same or any other covenant,
term or condition or a waiver of the covenant, term or condition itself.
7.8 Termination. This Agreement may only be terminated by either party: 1) for breach of
the Agreement; 2) because funds are no longer available to pay Consultant for services
provided under this Agreement; or 3) City has abandoned and does not wish to complete
the project for which Consultant was retained. A party shall notify the other party of any
alleged breach of the Agreement and of the action required to cure the breach. If the
breaching party fails to cure the breach within the time specified in the notice, the
contract shall be terminated as of that time. If terminated for lack of funds or
abandonment of the project, the contract shall terminate on the date notice of
termination is given to Consultant. City shall pay the Consultant only for services

performed and expenses incurred as of the effective termination date. In such event, as
a condition to payment, Consultant shall provide to City all finished or unfinished
documents, data, studies, surveys, drawings, maps, models, photographs and reports
prepared by the Consultant under this Agreement. Consultant shall be entitled to
receive just and equitable compensation for any work satisfactorily completed
hereunder, subject to off-set for any direct or consequential damages City may incur as
a result of Consultant's breach of contract.
7.9 Duplicate Originals. This Agreement may be executed in duplicate originals, each
bearing the original signature of the parties. When so signed, each such document shall
be admissible in administrative or judicial proceedings as proof of the terms of the
Agreement between the parties.
8.0 NOTICES
Any notice given under this Agreement shall be in writing and deemed given when
personally delivered or deposited in the mail (certified or registered) addressed to the
parties as follows:

Thank you for giving us an opportunity to submit our qualifications for construction management/inspection services associated with
the City of Ukiah's Perkins and Orchard Streets Intersection Improvements Project (Project). Green Valley has enjoyed working with the
City of Ukiah on recent projects such as the Gobbi Street Intersection Realignment and the South Dora Street Rehabilitation and would
love an opportunity to further our relationship!

Leading your Green Valley Construction Management Team will be veteran Construction Manager Gene Harris. Gene Harris has lived
locally in Potter Valley for 31 years and worked for Mendocino County Public Works for 1 1 years. He is extremely familiar with local
issues, environmental requirements, governmental regulations, property owner concerns and State and local standards. Our proposed
construction inspector will be Rich Gordon, who has worked side by side with Gene for the last 6 years most recently on the Gobbi
Street Realignment project. Both Gene and Rich are up to speed on the City's standards and would offer the City the benefit of
experience, cost competiveness and zero learning curve!
More importantly, with both Gene and Rich living very near the project site, it allows us the ability to oversee the project on a
combined full-time and part-time basis, which will help to reduce construction administration costs but at the same time ensure
complete oversight of the project. We do not believe that the scope of the work will require 90 days of full-time inspection and
accordingly, have estimated inspection time at 30 days of full-time and 15 days of part-time. There will be a long lead time to order
traffic signal equipment and the installation will go fairly quickly. With the low bid of only $206,000 we believe that the Contractor
will be very efficient with his crews.
If requested by the City, we will utilize the testing for this project with RGH and Associates. RGH is certified by the State of California
(Caltrans) to provide Independent Assurance testing. We have not included a fee at this time.

Keeping It Local and Experienced....
Following you will find a brief summary of the services that
we propose for inspection and construction management
services for the Perkins Street and Orchard Avenue
Intersection Improvements, an EDA awarded Project. The
improvements are associated with the northeast corner of the
intersection and include the addition of a right turn only lane,
relocation of traffic signals and equipment, and new asphalt
and concrete paving with curb and gutter.
Green Valley's approach to providing construction
management and inspection services is to enforce the
contract documents and other applicable regulations, to
develop and maintain clear lines of communication between
all project parties including the City's team, to be proactive
in identifying issues, and to work diligently and effectively
toward resolution of issues. Specifically, we will perform the
following tasks to address these issues:
• Locate resources where they can be most effectively
utilized.
• Develop and implement procedures for effective
communication between the City, Construction
Manager (CM), Construction Inspector, Designer, and
the Contractor.
Develop and implement cost and scheduling procedures
to efficiently track the project.
• Assist the City as needed in interfacing with the public.
• All these activities will be performed to ensure that the
project is completed on time and within budget.
recently completed two nearby projects for the City, but are
also extremely familiar with the procedures and standards
of the City of Ukiah. Team members have very recent
construction management and inspection experience with
the City, but most importantly have gained this experience
on similar scoped infrastructure projects. Additionally, team
members are very comfortable with federally funded projects
and will have no learning curve associated with complying
and adhering to the reporting requirements of the EDA.
Project Understanding and Scope....
The City recently advertised and awarded the Perkins and
Orchard Street Improvements to Wildcat Engineering for
$206,077 on March 7, 2012. The project is funded via the
Economic Development Administration with a working time
of 90 days. The project must be constructed in compliance
with the EDA Contracting Provisions for Construction
Projects. Upon completion of the project, our team will be
responsible for the following:
• Complete set of files for both Construction
Management and Inspection services
• Set of digital photographs
• One set of mylar as-builts
We anticipate that the City will award this project such that it
is constructed during late Spring/early Summer. This project
is estimated at 90 working days. The scope of work includes
the addition of a dedicated right turn lane, installation of an
ADA compliant ramp, installation of curb, gutter, sidewalk,
new driveway entrance, installation of drainage facilities, and
the relocation of signal and lighting facilities.
Key to the success of the Perkins and Orchard Streets Project
will be sensitivity to the businesses and residents immediately
adjacent to the project as well as the high volume of traffic
that passes thru the project limits on a daily basis. There
are a number of businesses and institutions adjacent to the
project limits. Traffic control and pedestrian safety are going
to be key issues during construction as well as implementing
and maintaining a public outreach program to keep everyone
apprised of parking situations, proposed road closures and
detours, and changes to any local bus routes.
Our inspectors are very sensitive to the impacts that
construction can have on residents and impacts to businesses
and have an excellent reputation with our clients for their
ability to handle situations requiring diplomacy, tact and
awareness to the various needs of the public.
We are proposing a unique team that we believe will give
maximum cost benefit to the City while at the sarne time
ensuring an extremely skilled and senior staff to ensure the
project stays within budget and is completed on-time with
minimal impacts to the neighborhood.
We do not anticipate that all 90 days will be needed for
construction and accordingly, have estimated our fee to

assume that approximately 30 full time inspection days will be
needed with minimal part-time hours for project set up and
close out. A portion of the working days are anticipated for
the long lead times associated with traffic signal equipment.
We have included slightly higher fees for our Construction
Manager to allow for the monitoring of schedules, etc. by the
Contractor.
SCOPE OF SERVICES
Task 1: Pre-Construction Meeting and Photos
Our pre-construction services will include logistics,
coordination, and meetings with the Contractor, City, utility
companies, Police and Fire Department, and any other project
stakeholders. Prior to
the pre-construction

Task 2: Submittal Management

At the pre-construction conference we typically provide the
Contractor with a submittal log of all required submittals and
due dates. Submittals will be stamped, logged and reviewed
by the Construction Manager for conformance with the
contract documents. When appropriate, submittals will be
forwarded to the designer for review. Once submittals are
approved they will be distributed to the City, Contractor, and
Green Valley Construction Inspector.
Expedition or Excel software will generate and update a
submittal log and track the status of timelines, approvals, re-
submittals and "ball-in-court" status at various times during
the review process. Submittals will be filed by submittal
number.
Task 3: Schedule Management
Once Green Valley receives the initial construction schedule
from the Contractor, it will be reviewed for accuracy and
reasonableness. We will verify that it meets order of work,
and contract requirements in the Special Provisions. Progress
schedules will be reviewed weekly to ensure the Contractor
is meeting the critical dates. If the Contractor fails to meet
critical dates, we will immediately address this and provide
solutions to get back on schedule. Schedule updates may
be required once a month or more. Weekly statements
of working days will be issued with care determining
the controlling item of work. We will negotiate any time
extensions for the Contractor due to change orders, weather,
or other delays. We may maintain an
as-built progress schedule.
Task 4: Daily Field Inspection and Docurnentation
Green Valley will provide daily, on-site inspections of the
construction activities to ensure that the contract work
conforms to the contract documents and the City of Ukiah's
Design and Construction Standards. The on-site inspector
will provide documentation of the work via daily inspection
reports. The inspection reports include documentation of
construction activities, proposed change orders and notice
of potential claims, critical conversations, safety issues
and accidents, extra work in progress, materials testing
performed, information for as-built drawings, quantities for
progress payments, environmental concerns, and visitors to
the project site. Daily inspection reports will be submitted
to the City on a weekly basis for the previous weeks' work.
Green Valley will also document the work in progress with
digital photos and video. Photos and videos will be submitted
to the City on a monthly basis. Other important tasks of

Task 5: Requests for Information (RFi's)
The Contractor will be required to submit all Requests for
Information (RFIs) in writing. Using Expedition software,
Green Valley's Construction Manager will generate an
RFI form that has the request or question on top and the
Construction. Manager's answer on the bottom. There will
be some cases where the Construction Manager will need
to consult with the designer or the City. The Construction
Manager will ensure that the designer responds to the RFI
in a timely manner. If the RFI results in a change order, it is
linked into the change order log using this software. The
Construction Manager will generate an RFI log that lists the
ball-in-court, status, description, and if the RFI results in a
potential change order.
It should be noted that most questions or issues can be
resolved at the progress meetings.
Task 6: Construction Management
Our Construction Manager will oversee the Perkins Street
and Orchard Avenue Intersection Improvements Project and
ensure that the construction and contract administration
is performed in compliance with the project plans and
specifications. In addition to full compliance and reporting
following the Caltrans Local Assistance Program as per
Chapter Chapters 15 - Advertise and Award, Chapter 16 -
Administration of Construction Contracts, and Chapter 17 -
Project Completion/Closeout. Gene will be will be responsible
for the following items, at a minimum:
• Project progress.
• Progress meeting facilitation.
• Weekly and monthly management summary reports,
including Daily Resident Engineer Report.
• Monthly pay requests.
• On-site interviews and check for certified payroll
compliance.
It is important to note that a significant amount of time
is required for project close-out on the necessary forms
to ensure the necessary requirements for funding are
met. We have been responsible for the federal reporting
and compliance, as well as the construction management/
inspection for the majority of the ARRA funded overlays in
Sonoma County - working with most of the municipalities,
including Marin and Mendocino Counties. With this
experience we cannot stress enough the need and
importance of continually working with Caltrans to ensure
that the latest forms and reports are being used so that there
are no delays in payment or funding.
Task 7: Charge Order Management
in addition to reviewing the bid documents and field
conditions, our Construction Manager will use RFI logs, field
directive logs, potential change order logs, meeting minutes,
and discussions with City representatives, to determine if a
change order is warranted. If a change order is warranted,
our Construction Manaqer will negotiate with the Contractor
(with the City's approval) to produce the best construction
method at the lowest cost. If a change order requires
input from the design engineer, our Construction Manager
will coordinate to ensure it is reviewed. The Construction
Manager will also determine if added contract time is
warranted as a result of the change order. Unless the City
desires their own format, the change order is generated with
our Construction Management software with the appropriate
City Contractor and Green Valley signature lines. A change
order log is created that shows change order number,
description, status, approved date, start and completion dates
and cost.
Task 8: Payment Management
The Construction Manager will request a breakdown of lump
sum bid items from the Contractor if required by the contract
specifications. The Construction Manager will check if there
are maximum bid amounts for certain lump sum items
and the requirements regarding payment for materials on
hand. Green Valley's inspector will field measure and record
quantities of work, materials and change order pay records
and turn in to the Construction Manager. On a monthly
basis, Green Valley will check quantities and prepare payment
recommendations to the City using Expedition software or
City formats.

Task 9: Progress Meetings
Green Valley will conduct utility coordination meetings
(if required) and progress meetings including preparing
invitations, agenda and minutes. The progress meetings will
include discussions of progress schedules, delays to the work,
changes, pay estimates, public relations, safety, submittals,
RFIs and other critical issues. You can be assured that we
will always work to foster honest, open communication at
these weekly meetings which helps in timely resolution of any
disputes and/or potential claims.
Task 10: Public Relations and Notifications
The area residents and business community are always
a major focus of any project, and a Public Relations (PR)
program will be implemented at the start of the project if
requested by the City. A successful PR program will address
the various questions
and concerns of both the > immediate neighborhood
and keep public officials
and stakeholders apprised ,
of key project construction
details throughout the life
of the project. Services will

Task 11: Reporting
We know how important it is to keep the City informed
regarding public relations, progress of the work and costs
of the project. We are committed to this process and will
document all construction issues with the following reports:
• Progress meeting minutes.
• Weekly construction summary (if desired).
• Monthly status report which will provide the City

Correspondence:
The Construction Manager will be in contact with
our Inspector on a daily basis, and will copy the City's
designated staff member via e-mail on all critical issues.
Task 12: Materials Testing
Green Valley will provide any needed materials testing
services via our subconsultant, RGH Geotechnical
Consultants. RGH will provide Caltrans certified technicians to
perform compaction testing services, as needed. Our testing
services will be supported by and under the supervision of a
Principal Geotechncial Engineer (GE).
We have not included a fee for RGH, a Caltrans certified
laboratory, as it is our understanding that the City has
contracted for these services independently. If requested, we
will gladly provide the requisite testing services via RGH.
Task 13: Closeout and Record Drawings
We will work with the City and the Contractor to keep a
record set of drawings to document changes and as-built
conditions of original design plans. Once construction is
completed to the satisfaction of the City, we will compile
all pertinent files and related information and submit to the
City for their permanent records. We will coordinate with the
Inspector to furnish the City the following:
• Record drawings.
• Project photos.
• All contract files and records.
• Electronic files in CD format.
Task 14: Post-Construction Meeting
Following completion of the project, Green Valley will
be responsible for organizing and conducting a post-
construction meeting. The agenda will address all
documentation necessary for final closeout and payment,
and obligations necessary for contract closure, as well as any
funding requirements. Recommendations for improvement
will be made and incorporated into future projects. Meeting
minutes will be prepared and distributed to all parties.

Liz Ellis, Principal in Charge
Liz, with over 15 years of municipal infrastructure experience
is the Principal-in-Charge for this project and will bring you
the commitment and project ownership that you want for
this assignment. She is known by clients for successfully
managing and completing difficult and complex projects
on time. Her experience includes preparation of PS&E
for major utility upgrade projects, significant grading
projects, applications of trenchless technology, utility
infrastructure design, project permitting and program/project
management.
Liz is active in Professional organizations, completing a term
as President of the local American Society of Civil Engineers
(ASCE) chapter and has given presentations on trenchless
technology applications to professional groups in Boston,
MA and San Antonio, TX. She has taught Applied Physics
at Heald Institute of Technology and she currently sits on the
Sonoma County Regional Parks Foundation Board.
She has recently completed projects for the City of Santa
Rosa, City of Petaluma, Sonoma County Water Agency,
Sonoma County Regional Parks, and County of Marin.
Liz will be responsible for:

Gene Farris, Construction Manager (Part-time)
Green Valley is proposing Gene Harris as the Construction
Manager for the Perkins and Orchard Intersection
Improvement Project. Gene has managed over 20
intersection improvement projects and recently completed
the construction management for two Intersection
Improvement projects for the City of Ukiah: South Dora
Street Rehabilitation and Gobbi Street/Oak Manor/Babcock
Lane Intersection. As such, he knows the technical details
of intersection improvement projects and can translate the
specifics directly to the Contractor to minimize any questions
that may arise. Likewise, Gene follows a strict checklist to
ensure that all Caltrans contract administration, materials
testing, and project completion requirements are met on
all projects. Gene has previously provided construction
management for most of the agencies in Mendocino,
Marin, and Sonoma counties and is familiar with the City's
procedures and design standards. He understands how the
City operates and will run this project accordingly.
Rich Gordon, Construction inspector (mull-tirne)
Our proposed Construction Inspector is Rich Gordon, who
has worked side by side with Gene for the last 6 years
- including on the Gobbi Street Realignment and South
Dora projects. Rich has over 30 years of experience in the
construction industry with 13 years specifically working for
the County of Mendocino and understands the technicalities
of construction intersection improvement projects. As a
resident of Ukiah, Rich has a vested interest in the successful
outcome of this assignment. Both Gene and Rich are up to
speed on the City's standards and would offer the City the
benefit of experience, cost competiveness and zero learning
curve!

Green Valley provided the full time construction management and
inspection for this project that aligned Oak Manor Drive with Babcock
Lane, connecting both to Gobbi Street to create a standard four way, 90
degree intersection with sidewalks. The project included the installation of
two new precast concrete bridge crossings - one at Gobbi Street and one
at Babcock Lane - to accomodate the flow of Gibson Creek which
transverses the intersection. A portion of Gibson Creek was also realigned
as part of this project to coincide with the new bridge locations.
Each new bridge spans approximate lengths of 57-feet and 71-feet
respectively and are approximately 19-feet wide. They replace an existing
vehicular bridge and concrete pedestrian bridge along Gobbi Street that
were demolished. The bridges were designed per the most recent
Caltrans Specifications for a minimum seismic loading of M=7.25. They
are supported by a reinforced concrete pier and beam foundation with
piers drilled into the Gibson Creek streambed at minimum depths of
12-feet. After installation, the precast bridge deck was topped with a
concrete overlay to match the adjoining asphalt concrete surfaces and
achieve the finished grades. The 'inside' walls of each bridge are joined
to a retaining wall structure which forms the east bank of the 'new' creek
channel. The west 'earth slope' bank was regraded for stabilization and
topped with rock slope protection for erosion control. The complex site
work required Green Valley to coordinate with a number of local
permitting agencies, an on-site arborist and biologist, and local utility
companies for the relocation of utilites - see the green sidebar for details.

Soda Bay Road in Kelseyville had two dangerous 90-degree curves between
Blower Road and Park Drive. Green Valley performed the topographic
mapping and engineering services associated with the realignment of the
curves on approximately 2,200 feet of roadway. The roadway re-alignment
required utility coordination for relocation of poles, right of way research
and the preparation of legal plats and documents.
Green Valley participated in public outreach by meeting with the County
and neighbors to discuss the project and its impacts on their homes and
driveway entrances. Existing drainage patterns of adjacent orchards and
farms were studied to address low spots and areas of ponding. Green
Valley is currently providing full construction management and inspection
during the construction phase. The project is funded by Federal aid
funds and requires full compliance with Caltrans contract administration
procedures, including all recent revisions to the Interim Resident Engineer's
Contract Administration Checklist.

Completing the Wall Street Curb, Gutter, and Sidewalk Improvements in the Town of Windsor
Wall Street Curb, Gutter, are

Green Valley provided the full time construction management and inspection
for pedestrian improvements to Wall Street - a local side street located in the
Town of Windsor. Wall Street runs adjacent and parallel to the heavily
trafficked Windsor River Road and connects to the East side of Town's Keiser
Community Park. Prior to the project improvements there was no sidewalk
and street lighting and no safe and easy way for pedestrians, bicyclists, and
other non-vehicular traffic on this street to access Keiser Park.
This project created pedestrian facilities including a new concrete sidewalk,
curb, and gutter along the entire south side of Wall Street. The project also
improved drainage conditions within the street and in front of homes, and
installed new electrical utilities - conduit and pull boxes - for future street
lighting.
Overall, these project improvements greatly increased pedestrian safety
along Wall Street and created a local access route from the Town to the
Keiser Community Park.

Green Valley provided construction management and inspection
services for the South Dora Street Rehabilitation project in Ukiah.
This ARRA funded project removed the asphalt structural section
to a depth of 5 inches, removed and replaced the curb, gutter and
sidewalk, and installed pedestrian ramps and a new street structural
section. Once the overlay was complete, all iron was raised to grade,
and striping and pavement markings were replaced. The construction
management team was responsible for conducting weekly meetings
to resolve any project issues such as traffic and pedestrian safety as
well as any changes to work, thus ensuring the project remained
within budget and on schedule.

experience as both a designer and facilitator dedicated to moving projects
forward and successfully resolving complex project issues between multiple
stakeholders. She believes that while the public process can sometimes
be "messy", the overall effort is a positive one and allows for creative and
community worthy projects. She has been responsible for the planning,
permitting, design and management of various award-winning municipal
transportation projects.
Belated Project Experience
Downtown Streetscape and Franklin Street Reconstruction, City of
Fort Bragg. Recipient of the 2009 ACEC Engineering
[excellence Award and the 2009 ASCE Outstanding Small
Transportation Project of the Year. Recognized by her peers for her
engineering excellence, Liz worked with key stakeholders and elected
officials to successfully implement a Streetscape Masterplan for over 6 city
blocks of the core downtown area. The renovation focused on roadway
reconstruction, traffic calming, pedestrian and bicycle access solutions
including ADA upgrades, sidewalk curb bulbs, and colored crosswalks,
addressing parking concerns, and implementation of hardscape/landscape
beautification concepts. Her Project Manager role included extensive public
outreach with public workshops, monthly meetings with various downtown
business groups and on-going dialogue with businesses and residents.
Street Smart Improvements, City of Sebastopol. Performed the
overall project management for this two million dollar federally funded
transportation improvement project. The project made pedestrian
accessibility and safety improvements to multiple intersections along local
State highways in the downtown area. These improvements included the
removal of existing "old" sidewalks, the installation of new sidewalks with
ADA compliant curb ramps, the construction of in-pavement lighted and
colored crosswalks, pedestrian flashing beacons, curb extensions (bulb-outs),
striping, signage, and landscaping. The project was under the oversight
of Caltrans and required adherence to the Caltrans' Local Assistance
Procedures Manual for project delivery.
Solano Avenue/West Lincoln Avenue Intersection Improvements, City
of Napa. Provided the overall project management for this major intersec-
tion re-configuration and signalization project that had Caltrans oversight.
Intersection improvements included the widening of approximately 700
lineal feet of arterial roadway and State Highway 29 facilities, the installation
of new street lighting and signalization, and the construction of extensive
drainage facilities and pedestrian safety features. The project involved exten-
sive coordination with Caltrans for the coordination of City signals. Green
Valley was responsible for all phases of the project including pre-design,
topographic mapping, final engineering design, permitting, and construction
support.

Gene Harris is Green Valley's most seasoned Construction Manager
with over 40 years of local constructability review and construction
management experience. His experience spans large-scale and award-
winning transportation projects, water and wastewater, parks and
recreation, storm drainage, and local road, highway, and bridge projects
throughout California. Gene resides in the City of Ukiah and has
performed the construction management for several recent roadway/
intersection improvement projects, including the South Dora Street
Rehabilitation project which was federally funded and had specific
construction requirements. When not working directly for the City
of Ukiah, Gene can be found giving back to his local community.
He recently volunteered his time as Project Manager at the New
Potter Valley Church for the removal of the existing building and the
construction of a new, two story, 10,500 square foot structure.

South Dora Street Rehabilitation, City of Ukiah. Performed the
construction management for this federal roadway improvement project
located within the City of Ukiah. Roadway improvements were funded
by the American Recovery and Reinvestment Act (ARRA) and included
the removal of the existing asphalt structural section along South Dora
Street, the removal and replacement of curb, gutter, and sidewalk, and
existing pedestrian ramps, and the installation of a new street structural
section with new striping and pavement markings. Construction was
performed in accordance with the Caltrans' Local Assistance Manual
which specifies construction requirements for federal and state funded
local transportation projects. A complete listing of these requirements is
included on the following page.
Realignment of Gobbi Street/Oak Manor/Babcock Lane
Intersection, City of Ukiah. Performed the construction management
for this intersection improvement project located within the City of
Ukiah. Intersection improvements included the alignment of Oak Manor
Drive with Babcock Lane to create a standard four way, 90 degree
intersection, the construction of new sidewalks with ADA compliant
pedestrian curb ramps, and the installation of two new precast concrete
bridges with an asphalt concrete overlay, and new striping and signage.
Specific construction management challenges included working directly
with the State Public Utilities Commission, the Ukiah City Council, and
the PG&E head office in San Francisco in order to relocate gas and elec-
tric facilities away from proposed improvements in a timely manner.
Fort Bragg Downtown Streetscape, City of Fort Bragg. Performed
the construction management for this mile-long Streetscape project
designed by Green Valley. The project reconstructed a portion of the
City's "Main Street" and several intersecting side streets using cost
saving construction methods. Additional improvements included the
installation of decorative crosswalks, the installation of new sidewalks
with ADA compliant curb ramps and curb bulb-outs, the installation of
new street lighting, and new striping and signage.
New Traffic Signal and Street Lighting Installations , Various Mu-
nicipalities. Provided the construction inspection for a multitude of new
traffic signal and street lighting installations for municipal improvement
projects in Mendocino County, Sonoma County, the Town of Wind-
sor, and the Cities of Ukiah, Cloverdale, Healdsburg, Concord, Gilroy,
and Madera. All equipment and construction was in accordance with
Caltrans' Standard Specifications and Plans. Projects were performed at
City intersections and Highway 101 on- and off-ramps. Specifically per-
formed the construction inspection for signal and lighting improvements
at Kuki Road Lane and North State Street in the City of Ukiah.

Rich Gordon has over 30 years of experience in the construction
industry. He began his career "on the design side", spending 13 years
as an Engineering Technician with the County of Mendocino - with
five of those years spent in a Senior level position. He then moved
"into the field" where he has been working ever since. His diverse field
experience includes materials testing, construction estimating, land
surveying, and construction inspection. Rich knows the City of Ukiah,
the technicalities of constructing intersection improvements, and federal
aid construction requirements. Not only has Rich recently completed
the two roadway/intersection improvement projects described below
(one of them federally funded), but he calls the City of Ukiah "home"
and regularly uses the improvements which he has helped to build.
Additionally, Rich is certified as a Land Surveyor-In-Training and can
provide services such as topographic mapping, legal descriptions, right-
of-way determination, and construction staking when required.

American Recovery and Reinvestment Act (ARRA) Collector
Street Rehabilitation, City of Clearlake. Performed the construction
inspection for this federally funded roadway improvement project which
involved two local City roads - Burns Valley Road and Austin Drive.
The project involved the excavation and removal of the existing asphalt
surface and base course, the placement of new asphalt pavement and
minor underground utility repair.
Lakeshore/San Joaquin Emergency Relief Project, City of Clear-
lake. Performed the construction inspection for this federally funded
roadway improvement project which involved the complete reconstruc-
tion and widening of Lakeshore Drive at the intersection of San Joaquin
Avenue. Reconstruction included the repair of pavement failures with
dig-outs and full-depth asphalt concrete (AC) paving, cold planing of
the existing pavement, AC grinding at curb lips and side street con-
forms, leveling AC, full width pavement fabric, and an AC overlay.
Weak areas of subgrade were removed and replaced with asphalt. The
project required experience with Federal Highway Administration and
Caltrans to ensure funding and UDBE requirements associated with the
project were met. Construction inspection was performed in accordance
with Caltrans' Local Assistance Procedures Manual.

The cost of using company-owned equipment and specialized supplies is included in the hourly rates billed to our projects.
These costs have either already been incurred as the cost of equipment purchases necessary for us to efficiently perform our
tasks or represent a minor incidental cost that we feel should be considered as included in the preparation of professional
documents.
Miscellaneous External Expenditures
Miscellaneous external expenditures, such as those costs associated with subconsultants, blueprints, and reproduction of
originals will be billed at the actual cost. Mileage will be billed at $0.50 per mile.
Travel time and per diem will NOT be charged for Inspection assignments. Mileage is included in our vehicle rate.
