AMENDMENT 1
TO
PROFESSIONAL SERVICES AGREEMENT
BETWEEN
SOURCE CALIFORNIA ENERGY SERVICES INC. and THE CITY OF UKIAH
This Amendment No. 1, entered on July 18, 2011, revises the Agreement for Professional
services dated March 3, 2011 between the City of Ukiah and Source California Energy
Services, Inc. for professional consulting services related to engineering services at the
Lake Mendocino Hydro Facility.
This Amendment No. 1 changes the following:
Section 2.0 Scope of Services. The scope of services are to include services as
outlined in Attachment #1.
Section 3.1 Time of Completion: Consultant shall complete the services of the
agreement within 60 days from the date of this Amendment 1.
Section 4.1 Basis for Compensation: For the additional work as outlined in
Attachment #1, Consultant shall be compensated on a time and expense basis not
to exceed a guaranteed maximum dollar amount of $4,300, fora total revised
contract amount of $13,500.
Except as expressly amended by this Amendment, all other terms remain unchanged and
in full force and effect.

Bob & James:
Our meeting with the Army Corp of Engineers was very insightful but it raised issues that were not included in the
original estimate for this project. Here are the summary of additional issues and resulting work items:
The Corp was not prepared to deliver your final instrumentation. We originally were told that this last week
would be the final installation and therefore only budgeted one trip to your site. A second trip is now required
to commission the installation after you receive and install the devices from the Corp; estimated in about four
weeks.
2. We discovered that the Corp designed their system as providing the loop power for the new instrumentation
signal. (Typically, field transmitters receive their loop power from the PLC) The Corp attempted to find a
compromise but their instrumentation does not have the flexibility to turn off the loop power. The existing
analog input cards in the SCADA PLC cannot accept externally powered loops. Therefore, I was required to
research and obtain a spare analog input card that can accept externally powered loops.
The Corp specified a much larger scaling of river flow than what is currently used because their system is now
transmitting the flow in cubic feet per second (i.e., cfs). The existing signal is river stage height and since the
conversion is performed in the PLC, it is not susceptible to electrical signal noise. A second "low range" river
flow signal is required and logic needs to be engineered within the PLC for switching between the full range and
low range signals. Otherwise, use of only the fulllrange signal will cause automatic flow control to be unstable in
the 75 -175 cfs typical range that you operate.
As of end of business today, we have accumulated $6,430 in billing against the $9,200 purchase order. There is enough
remaining funds to cover two more days to engineer the logic to account for the "low range" flow metering and
switching. A second trip to your site is required with time to loop check, startup, and commission the new flow
indication. It is estimated that three mandays plus expenses are required to complete this additional work which
includes travel time to/from the site. With travel time included, that leaves two full days at the site for this ppeject.
The additional estimated costs is $4,300 (four thousand three hundred US dollars).
Unless otherwise directed, I will proceed with the PLC logic design work here at the office but will wait until authorized
to retOrn to your site. Please call if you have any questions.

SUBJECT: REPORT THE ACQUISITION OF SERVICES FROM SOURCE CALIFORNIA IN THE
AMOUNT OF $9,200, AND AUTHORIZATION TO AMEND THE AGREEMENT IN THE
AMOUNT OF $4,300, FOR A TOTAL CONTRACT AMOUNT OF $13,500.00 (EUD)
Background: On March 3, 2011, an agreement was entered with Source California Energy Services in the
amount of $9,200 to perform engineering services involving the PLC logic at the Lake Mendocino Hydro
Facility. Source California was selected because they had past experience working with the system.
Discussion: Originally this work was planned on the understanding that the Army Corps of Engineers
(ACOE) was to deliver and install the new instrumentation and then the necessary programming and testing
could be accomplished. When the ACOE arrived, staff realized that they had not yet purchased the final
instrumentation for this project, but brought a prototype that was used to prove the viability of the system. It
was discovered, during an indepth meeting with all parties, that there was an incompatibility problem
between these instruments and the hydro's PLC analog input cards, so it became necessary to obtain a
new input card to accept the new 4-20ma signals. It was also discovered that the full range of river flow
signal would be problematic at lower flow rates, so separate low and high flow devices would be needed
along with the required logic in the PLC to seamlessly switch to the correct device.
Because of these issues it has become necessary for Source California to make a second site visit to the
Hydro Plant to complete this work. It is estimated that this will require three days plus expenses, which
includes travel to and from the project. Therefore, staff is requesting Council's approval to amend the
existing agreement in the amount of $4,300 to cover for this additional work. Also, staff would like the
flexibility to further amend the contract for any unforeseen issues if necessary in the amount of 10% of the
agreement, or $5,000, whichever is greater. Funds are available in 800.5536.250.000.

Recommended Action(s): Receive the report regarding the acquisition of services from Source
California in the amount of $9,200, authorize amending the agreement in the amount of $4,300, for a
total contract amount of $13,500, and authorize staff to additionally amend the agreement if necessary
in the amount of 10% or $5,000, whichever is greater.
Alternative Council Option(s): Receive the report regarding the acquisition of services from Source
California in the amount of $9,200, do not authorize amending the agreement in the amount of $4,300,
for a total contract amount of $13,500, do not authorize staff to additionally amend the agreement if
necessary in the amount of 10% or $5,000, whichever is greater, and provide further direction to staff.
