WORK PERFORMANCE AGREEMENT - UKIAH ORCHARD SUBSTATION
CITY OF UKIAH ORCHARD SUBSTATION UPGRADE PROJECT
The City of Ukiah ("Customer") has requested PACIFIC GAS AND ELECTRIC
COMPANY, a California corporation ("PG&E"), to perform Work as located and described in
Section 5 herein, at the Customer's expense, prior to the Customer energizing its new 115 kV
bus and transformers at Customer's new Orchard substation.
This Work Performance Agreement ("WPA") is entered into pursuant to Service
Agreement No. 17 under PG&E FERC Electric Tariff Volume No. 5, the Interconnection
Agreement between Pacific Gas and Electric Company and Northern California Power Agency
("NCPA IA") and is subject to all terms and conditions thereof. For purposes of interpreting this
WPA, if any term or condition of this WPA conflicts with the NCPA IA, this WPA shall govern.
PG&E agrees to perform the requested Work and furnish all necessary labor, equipment,
materials and related facilities required therefore, subject to the following conditions:
"Work" performed pursuant to this WPA consists of all work that PG&E performs as a
contractor for the Customer at the Customer's request. Such Work may include moving,
disconnecting or reconnecting existing facilities at Customer's request and may also
include furnishing equipment or facilities. All costs and charges identified and estimated
in this WPA are subject to true-up and adjustment.
2. PG&E shall prepare and bill Customer for the actual work upon completion of the Work
identified in this WPA. The payment of this bill shall be due and must be received by
PG&E not later than the 30th calendar day following the day on which the Customer
receives the bill. A bill shall be deemed delivered on the third business day after the
postmarked date unless a copy of the bill is sent electronically, in which case it shall be
deemed delivered on the same day. If the Customer disputes all or any portion of the bill
submitted by PG&E, the Customer shall pay the bill in full and endeavor to resolve any
billing dispute pursuant to Sections D.3 through D.9 of the NCPA IA.

Whenever part or all of the requested Work is to be furnished or performed upon property
other than that of Customer or PG&E, Customer shall first procure from such owners all
necessary rights-of-way or permits in a form satisfactory to PG&E and without cost to it.
4. Section 25 of the NCPA IA (Indemnity) and Section 27 of the NCPA IA (Liability) shall
apply to the Work described in this WPA. In no event shall either Party hereto or any
subcontractor be liable for indirect, special, incidental, consequential or exemplary
damages, including but not limited to, the loss of profits or revenue, loss of use of the
equipment or any associated equipment, cost of capital, cost of substitute equipment,
facilities or services, down time costs, loss of opportunity, loss of data, loss of goodwill
or claims of customers of the other Party for such damages, and each Party hereby
releases each other Party there from.
5. The location and requested Work are described as follows:
LOCATION: Humboldt Distribution Control Center
DESCRIPTION OF WORK:
PG&E will research, write, check for accuracy and direct switching necessary to unload
and return normal on completion of PG&E's Ukiah substation 115kv/12kv bank 2 for set-
up to energize I I5kv high side to City of Ukiah's new Orchard substation
(cost estimate = $1,034.88)
LOCATION: Distribution Operations Engineering
DESCRIPTION OF WORK:
PG&E will review 12kv operating system conditions in Ukiah area and review and
approve switching to unload and return to normal on completion of PG&E's Ukiah
substation I I5kv/12kv bank 2 for set-up to energize I I5kv high side to City of Ukiah's
new Orchard substation (cost estimate = $1,145.06)

LOCATION: Grid Control Center Vacaville
DESCRIPTION OF WORK:
PG&E will research, write, check for accuracy and direct switching necessary to set up
and return normal on completion PG&E's 115kv bus at Ukiah substation to reduce
impact to PG&E customers while City of Ukiah energizes its new 115kv Orchard
substation (cost estimate = $935.18)
LOCATION: Transmission Operations Engineering
DESCRIPTION OF WORK:
PG&E will review system operating conditions and operations setup and approve same if
applicable to PG&E's 115kv system and Ukiah substation 115kv bus setup prior City of
Ukiah energizing its new 115kv bus to new Orchard substation (cost estimate = $528)
LOCATION: Transmission System Protection
DESCRIPTION OF WORK:
PG&E will review system protection conditions and 115kv bus protective condition at
PG&E's Ukiah substation and request changes if necessary prior to City of Ukiah
energizing its new 115kv bus to new Orchard substation (cost estimate = $837.94)
LOCATION: Substation Test Department Technicians
DESCRIPTION OF WORK:
PG&E will execute, if applicable, changes and return normal on completion PG&E's
115kv and 12kv system protection for set-up prior to City of Ukiah energizing its new
115kv bus at new Orchard substation (cost estimate = $589.69)

LOCATION: Substation Maintenance Switch Person
DESCRIPTION OF WORK:
PG&E will execute switching and return to normal on completion PG&E's Ukiah
substation and outlying substations if applicable for set-up prior to City of Ukiah
energizing its new I I5kv bus at new Orchard substation (cost estimate = $1,241.24)
LOCATION: Restoration Department Trouble Man
DESCRIPTION OF WORK:
PG&E will execute switching and return to normal on completion field switches
necessary for load transfers to unload PG&E's Ukiah substation 115kv/12kv bk 2 for set-
up prior to City of Ukiah energizing its new I I5kv bus at new Orchard substation
(cost estimate = $1,291.66)
6. Customer may provide advance funding to meet the immediate needs of the project and
for the purchase of long lead-time materials required.
7. Subject to any requirements for notice to or approval by FERC, this Agreement shall
terminate on the date upon which the NCPA IA terminates or earlier upon agreement by
Customer and PG&E.
8. Customer shall pay to PG&E, promptly upon demand by PG&E, as the complete contract
price hereunder the sum of the actual cost, current estimate Seven Thousand Six
Hundred Three dollars and Sixty-five cents 7,603.65).
Upon completion of requested Work, ownership of equipment and facilities furnished
under this Work Performance Agreement shall vest in (check): X PG&E Customer

IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed by
authorized representatives this day of Jam, 2011 but effective as set forth above.
