AGREEMENT FOR
PROFESSIONAL CONSULTING SERVICES
[Design Professional]
This Agreement, made and entered into this 2q fh day of 2010 ("Effective
Date"), by and between CITY OF UKIAH, CALIFORNIA, hereinafter referred to as "City" and GREEN
VALLEY CONSULTING ENGINEERS, a corporation organized and in good standing under the laws
of the State of California, hereinafter referred to as "Consultant".
RECITALS
This Agreement is predicated on the following facts:
a. City requires consulting services related to construction management, inspection and testing
for South Dora Street Rehabilitation Project, Specification No. 10-01.
b. Consultant represents that it has the qualifications, skills, experience and properly licensed to
provide these services, and is willing to provide them according to the terms of this
Agreement.
C. City and Consultant agree upon the Scope-of-Work and Work Schedule attached hereto as
Attachment "A", describing contract provisions for the project and setting forth the completion
dates for the various services to be provided pursuant to this Agreement.
TERMS OF AGREEMENT
1.0 DESCRIPTION OF PROJECT
1.1 The Project is described in detail in the attached Scope-of-Work (Attachment "A").
2.0 SCOPE OF SERVICES
2.1 As set forth in Attachment "A".
2.2. Additional Services. Additional services, if any, shall only proceed upon written agreement
between City and Consultant. The written Agreement shall be in the form of an Amendment to
this Agreement.
3.0 CONDUCT OF WORK
3.1 Time of Completion. Consultant shall commence performance of services as required by the
Scope-of-Work upon receipt of a Notice to Proceed from City and shall complete such services
within 75 working days from receipt of the Notice to Proceed. Consultant shall complete the
work to the City's reasonable satisfaction, even if contract disputes arise or Consultant
contends it is entitled to further compensation.
4.0 COMPENSATION FOR SERVICES
4.1 Basis for Compensation. For the performance of the professional services of this Agreement,
Consultant shall be compensated on a time and expense basis not to exceed a guaranteed
maximum dollar amount of $110,585. Labor charges shall be based upon hourly billing rates
for the various classifications of personnel employed by Consultant to perform the Scope of

Work as set forth in the attached Attachment B, which shall include all indirect costs and
expenses of every kind or nature, except direct expenses. The direct expenses and the fees
to be charged for same shall be as set forth in Attachment B. Consultant shall complete the
Scope of Work for the not-to-exceed guaranteed maximum, even if actual time and expenses
exceed that amount.
4.2 Changes. Should changes in compensation be required because of changes to the Scope-of-
Work of this Agreement, the parties shall agree in writing to any changes in compensation.
"Changes to the Scope-of-Work" means different activities than those described in Attachment
"A" and not additional time to complete those activities than the parties anticipated on the date
they entered this Agreement.
4.3 Sub-contractor Payment. The use of sub-consultants or other services to perform a portion of
the work of this Agreement shall be approved by City prior to commencement of work. The
cost of sub-consultants shall be included within guaranteed not-to-exceed amount set forth in
Section 4.1.
4.4 Terms of Payment. Payment to Consultant for services rendered in accordance with this
contract shall be based upon submission of monthly invoices for the work satisfactorily
performed prior to the date of invoice less any amount already paid to Consultant, which
amounts shall be due and payable thirty (30) days after receipt by City. The invoices shall
provide a description of each item of work performed, the time expended to perform each task,
the fees charged for that task, and the direct expenses incurred and billed for. Invoices shall
be accompanied by documentation sufficient to enable City to determine progress made and
the expenses claimed.
5.0 ASSURANCES OF CONSULTANT
5.1 Independent Contractor. Consultant is an independent contractor and is solely responsible for
its acts or omissions. Consultant (including its agents, servants, and employees) is not City's
agent, employee, or representative for any purpose.
It is the express intention of the parties hereto that Consultant is an independent contractor
and not an employee, joint venturer, or partner of City for any purpose whatsoever. City shall
have no right to, and shall not control the manner or prescribe the method of accomplishing
those services contracted to and performed by Consultant under this Agreement, and the
general public and all governmental agencies regulating such activity shall be so informed.
Those provisions of this Agreement that reserve ultimate authority in City have been inserted
solely to achieve compliance with federal and state laws, rules, regulations, and interpretations
thereof. No such provisions and no other provisions of this Agreement shall be interpreted or
construed as creating or establishing the relationship of employer and employee between
Consultant and City.
Consultant shall pay all estimated and actual federal and state income and self-employment
taxes that are due the state and federal government and shall furnish and pay worker's
compensation insurance, unemployment insurance and any other benefits required by law for
himself and his employees, if any. Consultant agrees to indemnify and hold City and its
officers, agents and employees harmless from and against any claims or demands by federal,
state or local government agencies for any such taxes or benefits due but not paid by
Consultant, including the legal costs associated with defending against any audit, claim,
demand or law suit.

Consultant warrants and represents that it is a properly licensed professional or professional
organization with a substantial investment in its business and that it maintains its own offices
and staff which it will use in performing under this Agreement.
5.2 Conflict of Interest. Consultant understands that its professional responsibility is solely to City.
Consultant has no interest and will not acquire any direct or indirect interest that would conflict
with its performance of the Agreement. Consultant shall not in the performance of this
Agreement employ a person having such an interest. If the City Manager determines that the
Consultant has a disclosure obligation under the City's local conflict of interest code, the
Consultant shall file the required disclosure form with the City Clerk within 10 days of being
notified of the City Manager's determination.
6.0 INDEMNIFICATION
6.1 Insurance Liability. Without limiting Consultant's obligations arising under Paragraph 6.2
Consultant shall not begin work under this Agreement until it procures and maintains for the
full period of time allowed by law, surviving the termination of this Agreement insurance
against claims for injuries to persons or damages to property, which may arise from or in
connection with its performance under this Agreement.
A. Minimum Scope of Insurance
Coverage shall be at least as broad as:
Insurance Services Office ("ISO) Commercial General Liability Coverage Form
No. CG 20 10 10 01 and Commercial General Liability Coverage - Completed
Operations Form No. CG 20 37 10 01.
2. ISO Form No. CA 0001 (Ed. 1/87) covering Automobile Liability, Code 1 "any
auto" or Code 8, 9 if no owned autos and endorsement CA 0025.
3. Worker's Compensation Insurance as required by the Labor Code of the State
of California and Employers Liability Insurance.
4. Errors and Omissions liability insurance appropriate to the consultant's
profession. Architects' and engineers' coverage is to be endorsed to include
contractual liability.
B. Minimum Limits of Insurance
Consultant shall maintain limits no less than:
General Liability: $1,000,000 combined single limit per occurrence for bodily
injury, personal injury and property damage including operations, products and
completed operations. If Commercial General Liability Insurance or other form
with a general aggregate limit is used, the general aggregate limit shall apply
separately to the work performed under this Agreement, or the aggregate limit
shall be twice the prescribed per occurrence limit.
2. Automobile Liability: $1,000,000 combined single limit per accident for bodily
injury and property damage.

3. Worker's Compensation and Employers Liability: Worker's compensation limits
as required by the Labor Code of the State of California and Employers Liability
limits of $1,000,000 per accident.
4. Errors and Omissions liability: $1,000,000 per occurrence.
C. Deductibles and Self-Insured Retentions
Any deductibles or self-insured retentions must be declared to and approved by the
City. At the option of the City, either the insurer shall reduce or eliminate such
deductibles or self-insured retentions as respects to the City, its officers, officials,
employees and volunteers; or the Consultant shall procure a bond guaranteeing
payment of losses and related investigations, claim administration and defense
expenses.
D. Other Insurance Provisions
The policies are to contain, or be endorsed to contain, the following provisions:
General Liability and Automobile Liability Coverages
a. The City, it officers, officials, employees and volunteers are to be
covered as additional insureds as respects; liability arising out of
activities performed by or on behalf of the Consultant, products and
completed operations of the Consultant, premises owned, occupied or
used by the Consultant, or automobiles owned, hired or borrowed by the
Consultant for the full period of time allowed by law, surviving the
termination of this Agreement. The coverage shall contain no special
limitations on the scope-of-protection afforded to the City, its officers,
officials, employees or volunteers.
b. The Consultant's insurance coverage shall be primary insurance as
respects to the City, its officers, officials, employees and volunteers.
Any insurance or self-insurance maintained by the City, its officers,
officials, employees or volunteers shall be in excess of the Consultant's
insurance and shall not contribute with it.
C. Any failure to comply with reporting provisions of the policies shall not
affect coverage provided to the City, its officers, officials, employees or
volunteers.
d. The Consultant's insurance shall apply separately to each insured
against whom claim is made or suit is brought, except with respect to
the limits of the insurer's liability.
2. Worker's Compensation and Employers Liability Coverage
The insurer shall agree to waive all rights of subrogation against the City, its
officers, officials, employees and volunteers for losses arising from Consultant's
performance of the work, pursuant to this Agreement.

3. Professional Liability Coverage
If written on a claims-made basis, the retroactivity date shall be the effective
date of this Agreement.
4. All Coverages
Each Insurance policy required by this clause shall be endorsed to state that
coverage shall not be suspended, voided, canceled by either party, reduced in
coverage or in limits except after thirty (30) days prior written notice by certified
mail, return receipt requested, has been given to the City.
E. Acceptability of Insurers
Insurance is to be placed with admitted California insurers with an A.M. Best's rating of
no less than A- for financial strength, AA for long-term credit rating and AMB-1 for
short-term credit rating.
F. Verification of Coverage
Consultant shall furnish the City with Certificates of Insurance and with original
Endorsements effecting coverage required by this Agreement. The Certificates and
Endorsements for each insurance policy are to be signed by a person authorized by
that insurer to bind coverage on its behalf. The Certificates and Endorsements are to
be on forms provided or approved by the City. All Certificates and Endorsements are
to be received and approved by the City before Consultant begins the work of this
Agreement. The City reserves the right to require complete, certified copies of all
required insurance policies, at any time. If Consultant fails to provide the coverages
required herein, the City shall have the right, but not the obligation, to purchase any or
all of them. In that event, after notice to Consultant that City has paid the premium, the
cost of insurance may be deducted from the compensation otherwise due the
contractor under the terms of this Contract.
G. Subcontractors
Consultant shall include all sub-contractors or sub-consultants as insured under its
policies or shall furnish separate certificates and endorsements for each sub-contractor
or sub-consultant. All coverage for sub-contractors or sub-consultants shall be subject
to all insurance requirements set forth in this Paragraph 6.1.
6.2 Indemnification. Notwithstanding the foregoing insurance requirements, and in addition
thereto, Consultant agrees, for the full period of time allowed by law, surviving the termination
of this Agreement, to indemnify the City for any claim, cost or liability that arises out of, or
pertains to, or relates to any negligent act or omission or the willful misconduct of Consultant
and its agents in the performance of services under this contract, but this indemnity does not
apply to liability for damages for death or bodily injury to persons, injury to property, or other
loss, arising from the sole negligence, willful misconduct or defects in design by the City, or
arising from the active negligence of the City.
"Indemnify," as used herein includes the expenses of defending against a claim and the
payment of any settlement or judgment arising out of the claim. Defense costs include all
costs associated with defending the claim, including, but not limited to, the fees of attorneys,
investigators, consultants, experts and expert witnesses, and litigation expenses.

References in this paragraph to City or Consultant, include their officers, employees, agents,
and subcontractors.
7.0 CONTRACT PROVISIONS
7.1 Documents and Ownership of Work. All documents furnished to Consultant by City and all
documents or reports and supportive data prepared by Consultant under this Agreement are
owned and become the property of the City upon their creation and shall be given to City
immediately upon demand and at the completion of Consultant's services at no additional cost
to City. Deliverables are identified in the Scope-of-Work, Attachment "A". All documents
produced by Consultant shall be furnished to City in digital format and hardcopy. Consultant
shall produce the digital format, using software and media approved by City.
7.2 Governing Law. Consultant shall comply with the laws and regulations of the United States,
the State of California, and all local governments having jurisdiction over this Agreement. The
interpretation and enforcement of this Agreement shall be governed by California law and any
action arising under or in connection with this Agreement must be filed in a Court of competent
jurisdiction in Mendocino County.
7.3 Entire Agreement. This Agreement plus its Attachment(s) and executed Amendments set
forth the entire understanding between the parties.
7.4 Severability. If any term of this Agreement is held invalid by a court of competent jurisdiction,
the remainder of this Agreement shall remain in effect.
7.5 Modification. No modification of this Agreement is valid unless made with the agreement of
both parties in writing.
7.6 Assignment. Consultant's services are considered unique and personal. Consultant shall not
assign, transfer, or sub-contract its interest or obligation under all or any portion of this
Agreement without City's prior written consent.
7.7 Waiver. No waiver of a breach of any covenant, term, or condition of this Agreement shall be
a waiver of any other or subsequent breach of the same or any other covenant, term or
condition or a waiver of the covenant, term or condition itself.
7.8 Termination. This Agreement may only be terminated by either party: 1) for breach of the
Agreement; 2) because funds are no longer available to pay Consultant for services provided
under this Agreement; or 3) City has abandoned and does not wish to complete the project for
which Consultant was retained. A party shall notify the other party of any alleged breach of
the Agreement and of the action required to cure the breach. If the breaching party fails to
cure the breach within the time specified in the notice, the contract shall be terminated as of
that time. If terminated for lack of funds or abandonment of the project, the contract shall
terminate on the date notice of termination is given to Consultant. City shall pay the
Consultant only for services performed and expenses incurred as of the effective termination
date. In such event, as a condition to payment, Consultant shall provide to City all finished or
unfinished documents, data, studies, surveys, drawings, maps, models, photographs and
reports prepared by the Consultant under this Agreement. Consultant shall be entitled to
receive just and equitable compensation for any work satisfactorily completed hereunder,
subject to off-set for any direct or consequential damages City may incur as a result of
Consultant's breach of contract.

7.9 Duplicate Originals. This Agreement may be executed in duplicate originals, each bearing the
original signature of the parties. When so signed, each such document shall be admissible in
administrative or judicial proceedings as proof of the terms of the Agreement between the
parties.
8.0 NOTICES
Any notice given under this Agreement shall be in writing and deemed given when personally
delivered or deposited in the mail (certified or registered) addressed to the parties as follows:

Re: Green Valley - The Firm to Bring Experienced and Responsive ARRA Construction Management and
Inspection Services to the City of Ukiah
Dear Tim
Thank you for giving us an opportunity to submit our qualifications for construction management/inspection services associated
with the City of Ukiah's South Dora Street Rehabilitation Project (Project). Green Valley has enjoyed working with the City of
Ukiah on recent projects such as the Gobbi Street Intersection Realignment and the Oak Manor Pedestrian Bridge and would
love an opportunity to further our relationship!
As a firm that has a vested interest in the Ukiah community due to over 1/4 of our staff having residence in the immediate
Ukiah area and as evidenced by our numerous charitable contributions to local non-profits, we feel that we are well suited to
providing responsive and experienced staff.
Leading your Green Valley Construction Management Team will be veteran Construction Manager Gene Harris. Gene Harris
has lived locally in Potter Valley for 31 years and worked for Mendocino County Public Works for 11 years. He is extremely
familiar with local issues, environmental requirements, governmental regulations, property owner concerns and State and local
standards. The Construction Inspector on the Project will be Rich Gordon, who has worked side by side with Gene for the last 6
years - both of whom are currently completing the Gobbi Street Realignment project. Both Gene and Rich are up to speed on
the City's standards and would offer the City the benefit of experience, cost competiveness and zero learning curve!
More importantly, both Gene and Rich have completed the CM/Inspection on close to a dozen of the recent ARRA Stimulus
funded projects and are old hats at knowing the critical paperwork and funding compliance criteria needed to satisfy the
Caltrans Local Assistance staff! In fact, they have successfully completed more ARRA projects than another team in
Sonoma/Mendocino Counties!
Handling the testing for this project will be a firm that Green Valley has worked with many times, RGH and Associates. RGH is
certified by the State of California (Caltrans) to provide Independent Assurance testing, which is necessary for ARRA projects.
We know that clear communication is key to a successful construction project. We will work with the selected Contractor at
every turn to ensure his questions are answered immediately and submittals are reviewed and returned within the specified time
frame. We work with the latest Primavera Expedition software to track the status of all submittals and requests for Information
and can instantly generate updates for "ball in court" status checks. As a full service engineering firm, our support staff
maintains the highest level of service and provides a range of bid and construction phase services, value engineering,
constructability review, cost analysis and control, scheduling and claims management services.

PROJECT APPROACH AND UNDERSTANDING
The City of Ukiah has recently opened bids on the 2010 ARRA South Dora
Street Rehabilitation Project and is currently seeking the services of a third party
construction administration and inspection firm, which will also provide materials
testing services. The scheduled start date of the project is September 27, 2010 and
work is estimated at 75 working days. The scope of work includes the removal of
asphalt structural section to a depth of 5 inches, removal and replacement of curb,
gutter and sidewalk, as well as pedestrian ramps and the installation of a new street
structural section.
Once the overlay is complete all iron will be subsequently raised to grade, and
striping and pavement markings will be replaced.
Due to the nature of ARRA funded projects there should be no excavation or any
work beyond the limits of the existing road prism.
Key to the success of the project is the correct compliance with the Federal and
State funding requirements, and the resolution of construction issues through
communication among all parties involved. Our proposed Construction Manager,
Gene Harris, always conducts weekly meetings for his projects during which many
issues, such as traffic and pedestrian safety and changes to work, will be resolved
before they become unsafe or lead to costly change orders.
All of Green Valley's construction inspectors are very sensitive to the impacts that
construction can have on the local community, the residents and businesses. They
have an excellent reputation with our clients for their ability to handle situations
requiring diplomacy, tact and awareness to the various needs of the public.
We believe that our proposed CM Team will give maximum cost benefit to the City
of Ukiah. Our extremely skilled and senior staff will ensure that the project stays
within budget and is completed on-time with minimal impacts to the surrounding
setting.
SCOPE OF SERVICES
Task 1: Pre-Construction Meeting and Photos
Our pre-construction services will include logistics, coordination, and meetings with
the Contractor, City, utility companies, Police and Fire Department, and any other
project stakeholders. Prior to the pre-construction conference, Green Valley will
review the contract documents for relevant discussion points such as public safety,
tree protection, traffic control issues, and other miscellaneous issues. The conference
will provide the project team members the opportunity to convey their agendas
and concerns. We will discuss project safety and, if it is necessary, establish a public
relations program for notification to local residents and businesses. Pre-construction
services that Green Valley will provide include:
• Produce pre-construction conference invitations, agenda items, and meeting

minutes. Agenda items include lines of communication, public relations,
safety, submittals, change procedures, payments, progress schedules, contract
time, requests for information, and other applicable items.
• Pre-construction digital photos and video of the project site with particular
emphasis on adjacent properties.
• Set-up the project files in.accordance with the City's standard formats for
administration.
• Develop and distribute a project submittal log and discuss order of work
requirements.
Task 2: Submittal Management
At the pre-construction conference we typically provide the Contractor with a
submittal log of all required submittals and due dates. Submittals will be stamped,
logged and reviewed by the Construction Manager for conformance with the
contract documents. When appropriate, submittals will be forwarded to the designer
for review. Once submittals are approved they will be distributed to the City,
Contractor, and Green Valley Construction Inspector.
Expedition or Excel software will generate and update a submittal log and track the
status of timelines, approvals, re-submittals and "ball-in-court" status at various
times during the review process. Submittals will be filed by submittal number.
Task 3: Schedule Management
Once Green Valley receives the initial construction schedule from the Contractor, it
will be reviewed for accuracy and reasonableness. We will verify that it meets order
of work, and contract requirements in the Special Provisions. Progress schedules
will be reviewed weekly to ensure the Contractor is meeting the critical dates. If the
Contractor fails to meet critical dates, we will immediately address this and provide
solutions to get back on schedule. Schedule updates may be required once a month
or more. Weekly statements of working days will be issued with care determining
the controlling item of work. We will negotiate any time extensions for the
Contractor due to change orders, weather, or other delays. We may maintain an
as-built progress schedule.
Task 4: Daily Field Inspection and Documentation
Green Valley will provide daily, on-site inspections of the construction activities to
ensure that the contract work conforms to the contract documents and the City
of Ukiah's Design and Construction Standards. The on-site inspector will provide
documentation of the work via daily inspection reports. The inspection reports
include documentation of construction activities, proposed change orders and
notice of potential claims, critical conversations, safety issues and accidents, extra
work in progress, materials testing performed, information for as-built drawings,
quantities for progress payments, environmental concerns, and visitors to the project
site. Daily inspection reports will be submitted to the City on a weekly basis for
the previous weeks' work. Green Valley will also document the work in progress

with digital photos and video. Photos and videos will be submitted to the City on a
monthly basis. Other important tasks of the on-site inspector include public relations,
safety, and keeping the City informed of work progress. We will be responsible for
verifying compliance with the Water Pollution Control Program.
Green Valley will monitor the Contractor for compliance with the contract
documents and will recommend a course of action to the City if required measures
are not met by the Contractor.
Task 5: Requests for Information (RFI's)
The Contractor will be required to submit all Requests for Information (RFIs) in
writing. Using Expedition software, Green Valley's Construction Manager will
generate an RFI form that has the request or question on top and the Construction
Manager's answer on the bottom. There will be some cases where the Construction
Manager will need to consult with the designer or the City. The Construction
Manager will ensure that the designer responds to the RFI in a timely manner. If
the RFI results in a change order, it is linked into the change order log using this
software. The Construction Manager will generate an RFI log that lists the ball-in-
court, status, description, and if the RFI results in a potential change order.
It should be noted that most questions or issues can be resolved at the progress
meetings.
Task 6: Construction Management and Federal Requirements
Our Construction Manager will oversee the 2010 ARRA South Dora Street
Rehabilitation Project and ensure that the construction and contract administration
is performed in compliance with the project plans and specifications. In addition
to full compliance and reporting following the Caltrans Local Assistance Program
as per Chapter Chapters 15 - Advertise and Award, Chapter 16 - Administration
of Construction Contracts, and Chapter 17 - Project Completion/Closeout. Gene,
assisted by Joe Gaffney, will be will be responsible for the following items, at a
minimum:
• Project progress.
• Progress meeting facilitation.
• Weekly and monthly management summary reports, including Daily Resident
Engineer Report.
• Monthly pay requests.
• Verification of Contractor's use of DBE subcontractors.
• Onsite interviews and check for certified payroll compliance.
It is important to note that a significant amount of time is required for project close-
out on the necessary forms to ensure the necessary requirements for funding are

forms and reports are being used so that there are no delays in payment or funding.
Task 7: Change Order Management
In addition to reviewing the bid documents and field conditions, our Construction
Manager will use RFI logs, field directive logs, potential change order logs, meeting
minutes, and discussions with City representatives, to determine if a change
order is warranted. If a change order is warranted, our Construction Manager
will negotiate with the Contractor (with the City's approval) to produce the best
construction method at the lowest cost. If a change order requires input from the
design engineer, our Construction Manager will coordinate to ensure it is reviewed.
The Construction Manager will also determine if added contract time is warranted
as a result of the change order. Unless the City desires their own format, the
change order is generated with our Construction Management software with the
appropriate City Contractor and Green Valley signature lines. A change order log is
created that shows change order number, description, status, approved date, start
and completion dates and cost.
Task 8: Payment Management
The Construction Manager will request a breakdown of lump sum bid items from
the Contractor if required by tfie contract specifications. The Construction Manager
will check if there are maximum bid amounts for certain lump sum items and the
requirements regarding payment for materials on hand. Green Valley's inspector
will field measure and record quantities of work, materials and change order pay
records and turn in to the Construction Manager. On a monthly basis, Green Valley
will check quantities and prepare payment recommendations to the City using
Expedition software or City formats.
Task 9: Progress Meetings
Green Valley will conduct utility coordination meetings (if required) and progress
meetings including preparing invitations, agenda and minutes. The progress
meetings will include discussions of progress schedules, delays to the work, changes,
pay estimates, public relations, safety, submittals, RFIs and other critical issues. You
can be assured that we will always work to foster honest, open communication
at these weekly meetings which helps in timely resolution of any disputes and/or
potential claims.
Task 10: Public Relations and Notifications
The area residents are always a major focus of any project, and a Public Relations
(PR) program will be implemented at the start of the project if required by the
County. A successful PR program will address the various questions and concerns
of both the immediate neighborhood and keep public officials and stakeholders
apprised of key project construction details throughout the life of the project.

Task 11: Reporting
We know how important it is to keep the City informed regarding public relations,
progress of the work and costs of the project. We are committed to this process and
will document all construction issues with the following reports:
• Progress meeting minutes.
• Weekly construction summary (if desired).
• Monthly status report which will provide the City with information on
construction activities for the month, change order cost summary, pay
estimate cost summary and contract time summary.
• E-mail Correspondence: The Construction Manager will be in contact with our
Inspector on a daily basis, and will copy the City's designated staff member via
e-mail on all critical issues.
Task 12: Materials Testing
Green Valley will provide any needed materials testing services via our subconsultant,
RGH Geotechnical Consultants. RGH will provide Caltrans certified technicians
to perform compaction testing services, as needed. Our testing services will be
supported by and under the supervision of a Principal Geotechncial Engineer (GE).
Green Valley will provide any needed construction staking services which are
not anticipated. Our-survey crew is well versed in the Caltrans Standards for
Construction Surveying and will provide responsive, accurate staking based on the
Contractor's request. Our experience with the type of projects under consideration
is that our services will not be required.
We have,included a fee for RGH, a Caltrans certified laboratory. RGH has worked
with Green Valley on numerous projects in this capacity, offering the City a "well-
oiled" and efficient team with no learning curve between team members. With
Green Valley providing the needed support services there is heightened awareness of
providing a timely and correct product, as anything less will reflect poorly on all areas
of the firm and impact our construction team in the field.
Task 13: Closeout and Record Drawings

Task 14: Post-Construction Meeting
Following completion of the project, Green Valley will be responsible for organizing and
conducting a post-construction meeting. The agenda will address all documentation
necessary for final closeout and payment, and obligations necessary for contract
closure, as well as any funding requirements. Recommendations for improvement will
be made and incorporated into future projects. Meeting minutes will be prepared and
distributed to all parties.

Green Valley is proposing Gene Harris as the Construction Manager for the South
Dora Street Rehabilitation Project. Gene recently completed the construction man-
agement for two pavement reconstruction projects: Old Redwood Highway Pedes-
trian Linkage in Windsor and the City of Fort Bragg's Federal Overlay, both requiring
adherence to Caltrans Local Procedures Chapters 16 and 17 guidelines. As such, he
knows the technical details of pavement rehabilitation projects and can translate
the specifics directly to the Contractor to minimize any questions that may arise.
Likewise, Gene follows a strict checklist to ensure that all Caltrans contract adminis-
tration, materials testing, and project completion requirements are met all projects.
Gene has previously provided construction management for the most of the agen-
cies in Marin and Sonoma counties and is familiar with the City's procedures and
standards. He understands how the City operates and will run this project accord-
ingly.
Green Valley Construction Inspector Rich Gordon will assist Gene on your project as
the full-time inspector. Rich has provided construction inspection for multi-million

Laguna Force Main Replacement, City of Sebastopol. This
project required the replacement of 6,000 linear feet of 14"
diameter sewer force main thru some of the most ecologically
sensitive habitat in Sonoma County. Liz worked with over 5
permitting agencies, State politicians and local environmental-
ists to successfully incorporate trenchless pipeline construction
methods with horizontal directional drilling under the wetlands,
jacking and boring under State Highway 12 adjacent to the
pristine Laguna de Santa Rosa, and utilizing a cutting edge vortex
flow insert to reduce hydrogen sulfide corrosion. The project was
designed in two phases to allow for the force main to remain in
service while new sections were constructed and/or rehabilitated.
On-going dialogue with permitting officials and the community
was crucial in the timely and successful completion of this project.
Mendocino Avenue Water and Sewer Main Replacement,
City of Santa Rosa. Liz was Project Manager for extensive
reconstruction project which included replacement of 100-year
old water and sewer mains and upgrading of 12" sewer mains
with new fire services on a 4 lane major thoroughfare through 4
signalized intersections. Street reconstruction included stamped
and colored asphalt concrete at key intersections and ADA
upgrades of pedestrian ramps at all intersections.
Downtown Streetscape and Franklin Street Reconstruction,
City of Fort Bragg. Recipient of the 2009 ACEC Engineering
Excellence Award. Recognized by her peers for her engineering
excellence, Liz worked with key stakeholders and elected officials
to successfully implement a Streetscape Masterplan for over 6 city
blocks of the core downtown area. The renovation focused on
roadway reconstruction, traffic calming, pedestrian and bicycle
access solutions, addressing parking concerns, and implementa-
tion of hardscape/landscape beautification concepts. Her Project
Manager role included extensive public outreach with public
workshops, monthly meetings with various downtown business
groups and on-going dialogue with businesses and residents.

Rich Gordon has over 30 years of experience in the construction industry and construction engineering
arena. He has diverse field experience in materials testing, construction estimating, land surveying, and
construction inspection. He has served as a senior construction inspector for the past decade providing
the inspection and contract administration for various capitol improvement projects. These projects have
included: geo-grid embankments, storm drainage, street grading, seismic retrofits, sewer and water line
reconstruction, pump station improvements, pavement realignments and rehabilitation and emergency
roadway repair projects requiring the use of retaining walls, pile walls, excavation and embankment

development of the land west of the freeway.

A 13 MGD pumping plant that included conversion of an existing 27"
outfall line to accept pressurized flow, calibration and telemetry of the
pumping plant and flow control devices, and removal of an under-

PROJECT STAFFING AND FEE PROPOSAL
Our fee estimate is based on 75 working days and a part-time construction
manager at 3 hours per day and a full-time inspector. We are more than willing to
discuss our fee and associated scope of work, including all subconsultants, as neces-
sary to meet the City of Ukiah's goal for this project.
We have also included a fee estimate based on a 50 working day contract with
the Contractor. We understand that this has not been formally discussed with
the selected Contractor, but we believe that there is a possibility for the work to
be performed in less than the advertised 75 days, based on our experience with
similar projects. Consequently, we have prepared a second estimate based on
reduced working days for your consideration.
If the Contractor requires more than the 50 working days, but less than 75
working days, the City can increase our estimated fee from the 50 working
days by $1,235 for each and every working day above the 50.
