AGREEMENT FOR
PROFESSIONAL CONSULTING SERVICES
[Design Professional]
This Agreement, made and entered into this ZZ"Dday of AFRI L , 2008 ("Effective
Date"), by and between CITY OF UKIAH, CALIFORNIA, hereinafter referred to as "City" and
Garavaglia Architecture, Inc., a (—t, fpc> [sole proprietorship, corporation, partnership, limited partnership,
limited liability company, etc] organized and in good standing under the laws of the state of California,
hereinafter referred to as "Consultant".
RECITALS
This Agreement is predicated on the following facts:
a. City requires consulting services related to preparation of bid documents for the
rehabilitation of the Ukiah Railroad Depot.
b. Consultant represents that it has the qualifications, skills, experience and properly
licensed to provide these services, and is willing to provide them according to the terms
of this Agreement.
C. City and Consultant agree upon the Scope -of -Work and Work Schedule attached hereto
as Attachment "A", describing contract provisions for the project and setting forth the
completion dates for the various services to be provided pursuant to this Agreement.
TERMS OF AGREEMENT
1.0 DESCRIPTION OF PROJECT
1.1 The Project is described in detail in the attached Scope -of -Work (Attachment "A").
2.0 SCOPE OF SERVICES
2.1 As set forth in Attachment "A".
2.2. Additional Services. Additional services, if any, shall only proceed upon written
agreement between City and Consultant. The written Agreement shall be in the form of
an Amendment to this Agreement.
3.0 CONDUCT OF WORK
3.1 Time of Completion. Consultant shall commence performance of services as required
by the Scope -of -Work upon receipt of a Notice to Proceed from City and shall complete
such services within 84 calendar days from receipt of the Notice to Proceed. Consultant
shall complete the work to the City's reasonable satisfaction; even if contract disputes
arise or Consultant contends it is entitled to further compensation.

4.0 COMPENSATION FOR SERVICES
4.1 Basis for Compensation. For the performance of the professional services of this
Agreement, Consultant shall be compensated on a time and expense basis not to
exceed a guaranteed maximum dollar amount of $55,260. Labor charges shall be
based upon hourly billing rates for the various classifications of personnel employed by
Consultant to perform the Scope of Work as set forth in the attached Attachment B,
which shall include all indirect costs and expenses of every kind or nature, except direct
expenses. The direct expenses and the fees to be charged for same shall be as set
forth in Attachment B. Consultant shall complete the Scope of Work for the not -to -
exceed guaranteed maximum, even if actual time and expenses exceed that amount.
4.2 Changes. Should changes in compensation be required because of changes to the
Scope -of -Work of this Agreement, the parties shall agree in writing to any changes in
compensation. "Changes to the Scope -of -Work" means different activities than those
described in Attachment "A" and not additional time to complete those activities than the
parties anticipated on the date they entered this Agreement.
4.3 Sub -contractor Payment. The use of sub -consultants or other services to perform a
portion of the work of this Agreement shall be approved by City prior to commencement
of work. The cost of sub -consultants shall be included within guaranteed not -to -exceed
amount set forth in Section 4.1.
4.4 Terms of Payment. Payment to Consultant for services rendered in accordance with this
contract shall be based upon submission of monthly invoices for the work satisfactorily
performed prior to the date of invoice less any amount already paid to Consultant, which
amounts shall be due and payable thirty (30) days after receipt by City. The invoices
shall provide a description of each item of work performed, the time expended to perform
each task, the fees charged for that task, and the direct expenses incurred and billed for.
Invoices shall be accompanied by documentation sufficient to enable City to determine
progress made and the expenses claimed.
5.0 ASSURANCES OF CONSULTANT
5.1 Independent Contractor. Consultant is an independent contractor and is solely
responsible for its acts or omissions. Consultant (including its agents, servants, and
employees) is not City's agent, employee, or representative for any purpose.
It is the express intention of the parties hereto that Consultant is an independent
contractor and not an employee, joint venturer, or partner of City for any purpose
whatsoever. City shall have no right to, and shall not control the manner or prescribe the
method of accomplishing those services contracted to and performed by Consultant
under this Agreement, and the general public and all governmental agencies regulating
such activity shall be so informed.
Those provisions of this Agreement that reserve ultimate authority in City have been
inserted solely to achieve compliance with federal and state laws, rules, regulations, and
interpretations thereof. No such provisions and no other provisions of this Agreement
shall be interpreted or construed as creating or establishing the relationship of employer
and employee between Consultant and City.

Consultant shall pay all estimated and actual federal and state income and self-
employment taxes that are due the state and federal government and shall furnish and
pay worker's compensation insurance, unemployment insurance and any other benefits
required by law for himself and his employees, if any. Consultant agrees to indemnify
and hold City and its officers, agents and employees harmless from and against any
claims or demands by federal, state or local government agencies for any such taxes or
benefits due but not paid by Consultant, including the legal costs associated with
defending against any audit, claim, demand or law suit.
Consultant warrants and represents that it is a properly licensed professional or
professional organization with a substantial investment in its business and that it
maintains its own offices and staff which it will use in performing under this Agreement.
5.2 Conflict of Interest. Consultant understands that its professional responsibility is solely
to City. Consultant has no interest and will not acquire any direct or indirect interest that
would conflict with its performance of the Agreement. Consultant shall not in the
performance of this Agreement employ a person having such an interest. If the City
Manager determines that the Consultant has a disclosure obligation under the City's
local conflict of interest code, the Consultant shall file the required disclosure form with
the City Clerk within 10 days of being notified of the City Manager's determination.
6.0 INDEMNIFICATION
6.1 Insurance Liability. Without limiting Consultant's obligations arising under Paragraph 6.2
Consultant shall not begin work under this Agreement until it procures and maintains for
the duration of this Agreement insurance against claims for injuries to persons or
damages to property, which may arise from or in connection with its performance under
this Agreement.
A. Minimum Scope of Insurance
Coverage shall be at least as broad as:
Insurance Services Office ("ISO) Commercial General Liability Coverage
Form No. CG 00 01 11 85.
2. ISO Form No. CA 0001 (Ed. 1/87) covering Automobile Liability, Code
"any auto" or Code 8, 9 if no owned autos and endorsement CA 0025.
3. Worker's Compensation Insurance as required by the Labor Code of the
State of California and Employers Liability Insurance.
4. Errors and Omissions liability insurance appropriate to the consultant's
profession. Architects' and engineers' coverage is to be endorsed to
include contractual liability.

B. Minimum Limits of Insurance
Consultant shall maintain limits no less than:
General Liability: $1,000,000 combined single limit per occurrence for
bodily injury, personal injury and property damage. If Commercial
General Liability Insurance or other form with a general aggregate limit is
used, the general aggregate limit shall apply separately to the work
performed under this Agreement, or the aggregate limit shall be twice the
prescribed per occurrence limit.
2. Automobile Liability: $1,000,000 combined single limit per accident for
bodily injury and property damage.
3. Worker's Compensation and Employers Liability: Worker's compensation
limits as required by the Labor Code of the State of California and
Employers Liability limits of $1,000,000 per accident.
4. Errors and Omissions liability: $1,000,000 per occurrence.
C. Deductibles and Self -Insured Retentions
Any deductibles or self-insured retentions must be declared to and approved by
the City. At the option of the City, either the insurer shall reduce or eliminate
such deductibles or self-insured retentions as respects to the City, its officers,
officials, employees and volunteers; or the Consultant shall procure a bond
guaranteeing payment of losses and related investigations, claim administration
and defense expenses.
D. Other Insurance Provisions
The policies are to contain, or be endorsed to contain, the following provisions:
General Liability and Automobile Liability Coverages
a. The City, it officers, officials, employees and volunteers are to be
covered as additional insureds as respects; liability arising out of
activities performed by or on behalf of the Consultant, products
and completed operations of the Consultant, premises owned,
occupied or used by the Consultant, or automobiles owned, hired
or borrowed by the Consultant. The coverage shall contain no
special limitations on the scope -of -protection afforded to the City,
its officers, officials, employees or volunteers.
b. The Consultant's insurance coverage shall be primary insurance
as respects to the City, its officers, officials, employees and
volunteers. Any insurance or self-insurance maintained by the
City, its officers, officials, employees or volunteers shall be in
excess of the Consultant's insurance and shall not contribute with
it.

Any failure to comply with reporting provisions of the policies shall
not affect coverage provided to the City, its officers, officials,
employees or volunteers.
d. The Consultant's insurance shall apply separately to each insured
against whom claim is made or suit is brought, except with respect
to the limits of the insurer's liability.
2. Worker's Compensation and Employers Liability Coverage
The insurer shall agree to waive all rights of subrogation against the City,
its officers, officials, employees and volunteers for losses arising from
Consultant's performance of the work, pursuant to this Agreement.
3. Professional Liability Coverage
If written on a claims -made basis, the retroactivity date shall be the
effective date of this Agreement. The policy period shall extend from
April 17, 2008 to July 9, 2008.
4. All Coverages
Each Insurance policy required by this clause shall be endorsed to state
that coverage shall not be suspended, voided, canceled by either party,
reduced in coverage or in limits except after thirty (30) days prior written
notice by certified mail, return receipt requested, has been given to the
City.
E. Acceptability of Insurers
Insurance is to be placed with admitted California insurers with an A.M. Best's
rating of no less than A- for financial strength, AA for long-term credit rating and
AMB -1 for short-term credit rating.
F. Verification of Coveraae
Consultant shall furnish the City with Certificates of Insurance and with original
Endorsements effecting coverage required by this Agreement. The Certificates
and Endorsements for each insurance policy are to be signed by a person
authorized by that insurer to bind coverage on its behalf. The Certificates and
Endorsements are to be on forms provided or approved by the City. All
Certificates and Endorsements are to be received and approved by the City
before Consultant begins the work of this Agreement. The City reserves the right
to require complete, certified copies of all required insurance policies, at any
time. If Consultant fails to provide the coverages required herein, the City shall
have the right, but not the obligation, to purchase any or all of them. In that
event, after notice to Consultant that City has paid the premium, the cost of
insurance may be deducted from the compensation otherwise due the contractor
under the terms of this Contract.

G. Subcontractors
If Consultant uses subcontractors or sub -consultants, it shall cover them under
its policies or require them to separately comply with the insurance requirements
set forth in this Paragraph 6.1.
6.2 Indemnification. Notwithstanding the foregoing insurance requirements, and in addition
thereto, Consultant agrees to indemnify the City for any claim, cost or liability that arises
out of, or pertains to, or relates to the negligence, recklessness, or willful misconduct of
the Consultant and its agents in the performance of services under this contract, but this
indemnity does not apply to liability for damages for death or bodily injury to persons,
injury to property, or other loss, arising from the sole negligence, willful misconduct or
defects in design by the City, or arising from the active negligence of the City.
"Indemnify," as used herein includes the expenses of defending against a claim and the
payment of any settlement or judgment arising out of the claim. Defense costs include
all costs associated with defending the claim, including, but not limited to, the fees of
attorneys, investigators, consultants, experts and expert witnesses, and litigation
expenses.
References in this paragraph to City or Consultant, include their officers, employees,
agents, and subcontractors.
7.0 CONTRACT PROVISIONS
7.1 Documents and Ownership of Work. All documents furnished to Consultant by City and
all documents or reports and supportive data prepared by Consultant under this
Agreement are owned and become the property of the City upon their creation and shall
be given to City immediately upon demand and at the completion of Consultant's
services at no additional cost to City. Deliverables are identified in the Scope -of -Work,
Attachment "A". All documents produced by Consultant shall be furnished to City in
digital format and hardcopy. Consultant shall produce the digital format, using software
and media approved by City.
7.2 Governing Law. Consultant shall comply with the laws and regulations of the United
States, the State of California, and all local governments having jurisdiction over this
Agreement. The interpretation and enforcement of this Agreement shall be governed by
California law and any action arising under or in connection with this Agreement must be
filed in a Court of competent jurisdiction in Mendocino County.
7.3 Entire Agreement. This Agreement plus its Attachment(s) and executed Amendments
set forth the entire understanding between the parties.
7.4 Severability. If any term of this Agreement is held invalid by a court of competent
jurisdiction, the remainder of this Agreement shall remain in effect.
7.5 Modification. No modification of this Agreement is valid unless made with the agreement
of both parties in writing.

7.6 Assignment. Consultant's services are considered unique and personal. Consultant
shall not assign, transfer, or sub -contract its interest or obligation under all or any portion
of this Agreement without City's prior written consent.
7.7 Waiver. No waiver of a breach of any covenant, term, or condition of this Agreement
shall be a waiver of any other or subsequent breach of the same or any other covenant,
term or condition or a waiver of the covenant, term or condition itself.
7.8 Termination. This Agreement may only be terminated by either party: 1) for breach of
the Agreement; 2) because funds are no longer available to pay Consultant for services
provided under this Agreement; or 3) City has abandoned and does not wish to complete
the project for which Consultant was retained. A party shall notify the other party of any
alleged breach of the Agreement and of the action required to cure the breach. If the
breaching party fails to cure the breach within the time specified in the notice, the
contract shall be terminated as of that time. If terminated for lack of funds or
abandonment of the project, the contract shall terminate on the date notice of
termination is given to Consultant. City shall pay the Consultant only for services
performed and expenses incurred as of the effective termination date. In such event, as
a condition to payment, Consultant shall provide to City all finished or unfinished
documents, data, studies, surveys, drawings, maps, models, photographs and reports
prepared by the Consultant under this Agreement. Consultant shall be entitled to
receive just and equitable compensation for any work satisfactorily completed
hereunder, subject to off -set for any direct or consequential damages City may incur as
a result of Consultant's breach of contract.
7.9 Duplicate Originals. This Agreement may be executed in duplicate originals, each
bearing the original signature of the parties. When so signed, each such document shall
be admissible in administrative or judicial proceedings as proof of the terms of the
Agreement between the parties.
8.0 NOTICES
Any notice given under this Agreement shall be in writing and deemed given when
personally delivered or deposited in the mail (certified or registered) addressed to the
parties as follows:

Dear Mr. Seanor;
As a preservation architecture firm we are excited to see this RFP for the Ukiah Railroad Depot Project
located in Ukiah, CA. Not only is Garavaglia Architecture, Inc.'s expertise called upon for the project type
but also we are also excited at the opportunity to continue our work on the Depot building. The building
type, age and history, as the construction techniques and materials utilized on this structure, creates a
1 unique and stimulating professional opportunity. The structure is emblematic of the regional community
and serves as a reminder to the surrounding areas of its identity and place in California history. We feel
it is truly important work that will fully utilize our firm's range of expertise.
' We are sensitive to the challenges that the City of Ukiah faces and are well versed in the procedural
requirements for the preparation of bid documents on a federal, state and local level. More importantly,
we are easy to work with. This is matched with our proven commitment to cost efficient, high quality
results.
Our mission for this project is to develop the bid documents for the building while honoring the historic
nature of the resource. There are several important facets for this scope of work:
• Unique, high value historic resource from the area
• Verification of previous condition assessments and providing updats as necessary
• Identifying applicable laws, regulations and functional requirements in recommended work
areas to inform the restoration and preservation program.
• Working from original 2003 Architectural Notes, development of plans and specifications to
implement the rehabilitation program.
'0 Preparation of Permit Submittals
The City of Ukiah Deserves:
'0 A/ E services that acknowledge the historic significance of a resource, understanding how the
resource communicates this significance through its character defining elements, and how to
rehabilitate these elements in the design. We not only know how to work on historic buildings,
but know the Ukiah Railroad Depot building very well having completed the 2003 Architectural
notes.
• A consultant that has specific experience on the rehabilitation of railroad depots and other
railroad associated buildings. To date, Garavaglia has worked on the Ukiah Railroad Depot,
' Niles Depot and Plaza, Palo Alto Caltrain Station, Burlingame Train Station and the Railtown
1897 State Historic Park.
• Attention by the principal and senior staff for these intricate projects. Delegation to intermediate
staff is appropriate as an extension of the senior team members' involvement - not a substitute.

Intricate projects need higher efficiency in the delivery of services to maintain project budgetary
economy and require a different level of appropriateness in the design response.
Commitment to a project's schedule and budget. The A / E firm can provide this when the
projects are considered the top priority in the office and other work is engaged or completed after
considering to the needs of the City of Ukiah.
Garavaglia Architecture is attuned to these needs and our project delivery systems have been developed
and refined for these types of projects. We strategize with the clients, local communities, government
agencies and commissions and provide a customized solution to each project. We listen, and then
implement with cost efficiency in mind.
Our team is headed by our Historical Architect, and Principal in Charge, Michael Garavaglia, AIA. We
have assigned Mr. Frank Battipede, AIA as the Sr. Project Manager and Mr. Ambrose Wong will serve as
the Job Captain. Ms. Becky Urbano, Conservator and Architectural Historian will consult on as -needed
conservation issues and Mr. Mark Serrata will serve as the drafter. Mr. Garavaglia exceed the
qualifications under the Secretary of the Interior's Professional Qualifications Standards in Historic
Architecture. We are a small business enterprise, and have created an impressive team of qualified firms
with knowledge and expertise in historic buildings.
Since our establishment in 1986, Garavaglia Architecture has amassed over twenty years worth of
experience working on preservation projects and documentation throughout the State of California. Our
team is well aware of the complexities of historic resources in California. As a preservation architecture
firm, we strictly adhere to the principles outlined in the Secretary of the Interior's Standards and the
California State Historical Building Code. Our resourceful team of consultants can successfully execute
quality projects while in a knowledgeable and efficient manner. Combined with our flexibility,
enthusiasm, and experience we are the most valuable choice.

Garavaglia Architecture Inc. has assembled a superior team to assist the City of Ukiah with the
Railroad Depot project. Garavaglia will serve as the prime consultant and the single point of

applicability of the codes especially how they apply to existing buildings, relocation, change of
uses and other upgrade "triggers."
Our work with historic structures keeps us in close contact with the spirit of The Secretary's
Standards and how they apply to the various types of historic properties. We have been
involved with projects addressing the needs of the California Environmental Quality Act and

the laws impact on Historic Resources. We have provided input on the laws implications and
made recommendations on its use. We also have a good working relationship with the State
Historic Preservation Office as well as many local governmental agencies, planning and
building departments, allowing us to coordinate reviews and work with these agencies to
eliminate potential problems or delays.

previously completed the conditions assessment in 2003, but we also have extensive experience

Garavaglia Architecture developed a Resource Rehabilitation Report for this historic resource.
The Northwestern Pacific Railroad constructed it as a freight and passenger depot in 1929. The

rehabilitation work is limited to the depot building,
which is approximately 3,000 sq. ft., and existing
concrete areas immediately surrounding the depot. The
report presented a specific work plan for the
rehabilitation proposed in the Transportation
Enhancement Activity (TEA) Grant ("roofing, painting,
electrical, plumbing, flooring, windows, and all
necessary repairs to the structure") to be consistent with
the Secretary of the Interior's Standards for
Rehabilitation and the California State Historic Building
Code. This report also recommended code upgrade
based upon the then proposed office use for the North
Coast Railroad Authority. In addition to the written report, Garavaglia Architecture created
architectural diagrams of the rehabilitation and recommended code upgrade work.
Niles Rail Depot & Plaza, Fremont, CA
The Niles district of the City of Fremont was established in the 1880s by the Central Pacific
Railroad as the western terminus of its Transcontinental
F"mss y ` x.m Railroad connector from Sacramento to San Francisco. A
I arge freight station was built as the focal point of the
town. This included a large c.1887 board -and -batten
Central Pacific Freight Depot. The small town continued
to slowly grow after the Southern Pacific Railroad gained
control of its rival. To serve the growing population and
freight rail business, the Southern Pacific constructed a
new passenger depot in 1904 to replace the earlier
Central Pacific passenger depot. The passenger depot
remained in active service until 1941. After that it was
retained as a freight depot office until 1974. It was
moved to its current site in 1982 and became the home of the Niles Depot Museum. The freight
depot was used for storage until the 1990s. Currently, the City of Fremont hired our firm to
prepare Historic Structures Reports for both buildings as part of their incorporation into a new
downtown plaza on the location of the former railroad freight yard. Garavaglia is currently
serving as the architect for the rehabilitation of the buildings for use as a museum and
community space. Other portions of our involvement includes design recommendations and
reuse consultation for the proposed Plaza project.
Burlingame Train Station, Burlingame, CA
Built in 1894, the Burlingame Train Station is an early
example of the Spanish Colonial Revival style that soon
W.- became synonymous with the Southern Pacific Railroad.
B VR it rt awai= It was placed on the National Register of Historic Places
in 1978 and is designated as the State of California
Landmark No. 846. The train station was in continual use
by the Southern Pacific, and then CalTrain for daily
commuter and passenger service until the 1990s. Today,
portions of it are used as office space and storage but
passenger services have been automated and there is
- currently no public access to the historic interior spaces.
The Burlingame Historical Society (BHS) contracted with our firm to document the history and

character -defining features of the building. This initial report was then used to provide
recommendations and guidance for future use of the former waiting room and ticket counter by
BHS as an exhibition and social space. Some suggestions for future research, seismic
strengthening and funding sources were also identified as part of the final report.
Palo Alto Caltrain Station, Palo Alto, CA
This "Art Moderne" style depot was built in 1940, and is
on the National Register. The scope of work includes
accessibility upgrades and restoration of areas affected
by past renovations. Preservation of the integrity of the
historic fabric of the structure is of primary concern and
the process includes careful analysis and consideration
of materials and details. We worked with the City of
Palo Alto, Caltrain (Joint Powers Board), and local
preservation groups to gain agreement on scope of work.

documents.
Railtown 1897 State Historic Park, Jamestown, CA
Railtown 1897 State Historic Park houses one of the last original working steam locomotive
roundhouse and shop facilities in North America. It is operated in partnership between
California State Parks and the California State Railroad Museum Foundation. It shares several
staff positions with the state railroad museum in
Sacramento as well as having several dedicated full-time
staff members and a large array of volunteers. The State
Railroad Museum applied for a CAP grant to help them
assess the numerous artifacts and buildings at the
Railtown site. This museum poses an interesting
challenge because many of the artifacts are working
pieces of antique and unique equipment found only at
the Railtown site. The working nature of the railyard,
combined with its collection of rolling stock,
maintenance sheds, parts, movie props and buildings
make interpretation and maintenance %J the park a
complicated endeavor.
The primary purpose of this CAP grant is to help Railtown administrators prioritize projects
and provide documentation to support funding requests. To this end, this CAP grant covered
both the architectural resources and the collections contained within and throughout the site.
This document primarily focuses on the architectural resources. It is meant to function in
tandem with the collections assessment performed by Griswold Conservation Associates, LLC
The two reports should both be referenced for the complete CAP assessment results.
William Hood Mansion Seismic Retrofit & Master Planning, Santa Rosa, CA
This rare Californian example of a pre -Civil War masonry residence of 7,500 sq. ft. was
constructed from brick manufactured and fired on the property. It was once part of a large,
successful winery and ranch. The original structure was enlarged by Nevada Senator Thomas
Kearns 11904 and eventually became art of a rest home and orphanage run by the Knights of
Pythias. Despite its age and location in the seismically active Sonoma County region, the
building exhibits very few signs of deterioration or damage from earthquakes or the wear and

tear associated with institutional uses. However, structural and materials testing complete as
part of the firm's limited Historic Structure Report
utilizing the California Historical Building Code and
Secretary of Interior's Standards as framework for the
upgrades revealed significant inadequacies in the shear
resistance of the masonry walls. The results of the
testing and HSR recommendations including reporting
and selective use of epoxy injection are currently under
consideration as part of a larger seismic retrofit project
and disabled access. The firm is presently working with
the County on recommendations for an interpretive plan
to inform eventual use decisions for the property, as well as to further guide rehabilitation,
conservation, and seismic retrofitting work being undertaken by our team. To date, the project
has received Proposition 12, Proposition 40 and National Trust for Historic Preservation
Johanna Favrot grant funds. The scope of work includes an HSR, conservator evaluations,
design and construction documents, cost estimates, bidding and construction administration.
Historic Chinese Structures Rehabilitation, Fiddletown, CA
Preservation and rehabilitation of two historic California gold rush era structures, the Chinese
Store and Gambling Hall is underway in this small
historic mining town. It was suggested by our firm that
`l the work should be organized by an Historic Structures
Report which is comprised of historical research,
architectural research, building surveying and analysis
determining architectural and structural conditions, and
development of recommendations for treatments based
on the Secretary of Interior Standards and the State
Historical Building Codes. The buildings' stabilization
and exterior preservation include the firm's involvement
with design development and construction documents,
ti building permit application assistance, and construction
administration. The project is a recipient of California
Prop 12 funds. Parallel with technical upgrades are efforts to raise matching funds and seek
new grants to support additional work. The building will be used as part of an interpretive
exhibit based on the Chinese habitation of the structures.
Little Brown Church, Pacifica, CA
This project consists of the rehabilitation of a historic
church that once used to house the City of Pacifica Police
Station. This project aims to stabilize the structure and
return the building to a layout that is similar to its
original configuration while providing for a small-scale
community meeting space, museum, gift store and office.
Work included seismic upgrades, foundation work,
accessibility compliance, hazardous material remediation
(by others), and building envelope services including
roofing.

Belvedere City Hall, Belvedere, CA
Garavaglia Architecture, Inc. was contracted by the City
of Belvedere to provide historic preservation and
architectural services for the Belvedere Council
Chambers Restoration/ Business Office Lobby Remodel
project. The bulk of the project involves rehabilitation of
the Council Chambers. The portion of the building in
which the Council Chambers is located was originally
the Presbyterian Church designed by architect Albert
Farr and built in 1896. Characteristic of the period, the
English half-timbered architecture influenced the choice
of the stucco and wood exterior. The slightly rolled ends
of the gable roof simulate thatch, and the diamond -
paned leaded glass windows add to the effect of an
English country church. In 1949 the building was moved
to its current location and placed atop a new, one story
foundation constructed to accommodate the steeply
sloped site. Garvaglia's is in the process of finalizing the
HSR and is concurrently working on the design for the
council chambers remodel with an emphasis of
increasing the functionality of the space to meet the
City's needs, while removing non-contributing and in some cases inappropriate additions.
Features reminiscent of Farr's style will be incorporated into the space to create a pleasing yet
functional design.

historic 1862 building. Originally San Jose State Teachers
- College, oldest state public education institution, this portion

�i Teamed with Skidmore, Owning & Merrill, LLP in the
AN conversion of the old San Jose State University library to
faculty offices, administration space, classrooms as well
as a tenant space for the Academic Success Center. The
five story, 188,000 GSF facility was designed as a library so the electrical, mechanical and
plumbing was completely re -designed to meet the new space requirements. The design did
maintain the Utility Infrastructure connections to the campus central plant to provide the most
energy efficient chilled water, steam, and electrical service. In addition the project bridged work
with the new Computer Center emergency generator to provide back up power to the building.
The passive solar panels were left in place with an option to convert to PV panels in the future
as well as the placing of the mechanical units on the roof to maximize the PV panel real estate
for future renewable energy options. Our firm continues to work in various areas of Energy,
Infrastructure, and Technology.

Current work assignments and capacity to take on new work:
Garavaglia Architecture utilizes a project manager delivery methodology to implement
individual projects. Each project manager administers a number of projects depending on the
project size and schedule. Each project manager completes many tasks for a project (with
respective billing rates) so as to maximize the efficiency of task delegation. This methodology
works well for small to medium sized projects. Sometimes a project requires more attention
such as during a highly active period of the construction document phase. During these phases
additional staff will be assigned to a project to assist in the implementation of deadline oriented
tasks without too many individuals involved so as to limit large team inefficiencies. Our staff is
committed, highly motivated, and enjoy new and interesting projects. This attribute keeps our
productivity high.
Due to the nature of our workload, many ongoing projects within the firm do not have critical
deadlines. Smaller scale projects are implemented faster so we have more opportunities to
bring new projects into our workload. We are also selective of the types of work we desire to
undertake. It is more important to increase the quality of our work then to increase our volume
especially in these days of backlogs and deadline crisis. We consider projects of high quality
and would limit the number of other new projects we would commit to.
We can also bring additional staff in for deadline -oriented tasks. We have augmented our
resources this way in the past and have an ongoing relationship with several individuals if the
need arises for non -permanent employment. Our offices also have the ability to handle more
full time employees as the longer term needs arise.

Our staff has many years of experience behind them with specific expertise in all areas of
project types - small projects, historic preservation, code upgrade including accessibility, public

and "private" facilities, and a governmental client.
Our proposed sub -consultants, all of whom we have either worked with in the past or are

PROJECT APPROACH AND SCHEDULE
' The following scope of services is based on our understanding of the project and detailed
knowledge of the building. Garavaglia Architecture Inc. is very familiar with the Ukiah
Railroad Depot project and was initially involved in preparing Schematic Rehabilitation
Drawings issued in Aug of 2003 to the City of Ukiah.
' The scope below is based on the project assumptions established at that time and provide the
City of Ukiah with the benefits of a firm that can "hit -the -ground -running'. Any changes to
those assumptions or new programmatic requirements that may change scope may result in our
' request for additional fees.
Task 1 - Project Start-up
This phase includes initial preparation to begin work on the project
a) Prior to starting the work, we will attend the kick-off meeting scheduled by the City
with the appropriate representatives to:
' identify, verify, and prioritize the project goals
• review City's written functional space program for user's needs and a list of City
standards, preferred systems or manufacturers.
• review all existing documentation including drawings for the property done by
' Garavaglia Architecture, based upon the 1928 plans provided by the City
• review schedules, and discuss any project issues including determining final
work product attributes.
• Establish nature and frequency of progress reports. Meeting minutes will be
provided to the City and team members.
b) Field Survey and investigations to verify the physical architectural conditions, and the
' structural and mechanical conditions and systems.
Task 2 - Phase 1
Building on the information gathered during the field survey and investigations, preparation
for the preliminary designs will begin. The code analysis and prioritized project goals
established in the initial Team meeting will inform the process. This phase will include the
following tasks:
a) Due to Hazmat liability issues, GA will advise City on bid process only. Existing
' Hazmat Assessment will be useful to direct bidders and be cost-effective.
b) Working from its original 2003 Architectural Notes in the Schematic Rehabilitation
Documents. Garavaglia Architecture will develop plans, sections and details describing
each initial notation.
c) Preliminary MEP analysis with recommendations and alternatives will be provided for
review.
d) Scope of work will be clarified to allow for Schematic level cost estimating.
e) Begin structural investigations and MEP investigations.
f) Conduct code analysis to determine the upgrade requirements to the applicable code
and City standards.

g) Provide summary report of the existing conditions, especially those that will have '
significant effect upon design and renovation cost considerations.
h) Produce Architectural and MEP design plans for City review. '
Task 3 - Phase 2 ,
1. Incorporating the City's comments, construction document production will continue. Tasks
and deliverables are outlined below:
a) Prepare developed and coordinated Architectural, Structural, MEP floor Plans, partial '
plans, interior and exterior elevations that provide rehabilitation scope of work in its
entirety that incorporate comments from the City's project review.
b) Prepare outline specifications and cut/ sheet /samples for selected materials. Selection
and presentation of product selections including preliminary interior materials and color
palettes for common areas and determination of base finish level for tenant spaces.
c) Prepare Construction Document drawings, progress printing.
d) Prepare MEP System and distribution design
e) Cost Estimator to provide final construction estimate
2. Construction documents will be completed and City's alteration permit package submitted, I signed and sealed

EXCEPTIONS
Garavaglia Architecture has one comment with respect to the scope of services as outlined in '
the request for proposals. With regard to the recommendation of the proper procedures for
disposal of potentially hazardous materials, Due to Hazmat liability issues, Garavaglia
Architecture Inc., will advise City on the bid process only. '
We take no exceptions, nor do our consultants, to the City's insurance requirements and/or the
City's draft professional services agreement as presented in the attachments to the request for '
proposals.
